Assistant General Counsel, Corporate & Securities
Yext is seeking a talented, business-oriented attorney to join its growing Legal team. In this position, you will primarily be responsible for corporate and securities work for an NYSE-listed public company. This position is based in our New York, NY office and reports directly to our General Counsel.
Responsibilities:
- Assist in drafting, reviewing and preparation of 10-K, 10-Q, Proxy Statement, and other securities-related filings
- Work with General Counsel, CFO and Investor Relations in advising on investor inquiries and shareholder matters
- Assist in handling SEC, FINRA and other regulatory matters
- Provide support on corporate governance matters
- Collaborate with other members of the Legal team, and corporate administrative departments
Requirements:
- At least 8 years of legal practice experience, preferably as in-house counsel at a public company, a leading law firm, or a combination thereof
- Strong knowledge of federal and state securities laws and regulations, including Securities Act of 1933 and Securities Exchange Act of 1934
- Strong knowledge of NYSE rules
- Flexibility and eagerness to work hard in fast-paced environment and meet tight deadlines
- Highly organized, process-driven and client-focused team player
- Law degree from a top law school and license to practice law
