We seek a Contracts Administrator/Corporate Paralegal in New York, NY. The individual will report to the Head of Legal and work closely with internal teams across the company, including Finance, Business Development and Human Resources. You will be primarily responsible for all things related to processing contracts within the organization, from basic vendor agreements to complex commercial transactions, as well as supporting corporate governance and the general operations of the legal department. The ideal candidate will have experience in commercial contracts, with some exposure to reviewing and negotiating commercial agreements (preferably in an in-house role).
What you'll do...
  • Coordinate the daily administration of contracts
  • Monitor contracts for compliance with company policies and legal guidelines
  • Facilitate contract issues with internal teams and assist the Head of Legal as necessary with reviewing, drafting, marking-up, editing, proofreading and finalizing contracts
  • Participate in the development/review of various legal department’s forms and procedures
  • Provide administrative support to the legal team by developing and managing efficient processes
  • Perform a variety of paralegal duties that may include: managing corporate governance matters for U.S. and foreign subsidiaries, including drafting and maintaining minutes, making various filings with relevant government authorities, and preparing corporate action items; providing general support for corporate expansions into new markets, including researching relevant international law and making regulatory filings; managing filings related to IP portfolio (patent and trademark); assisting with equity transactions, including stock issuances, stock transfers, option exercises and other private company equity management responsibilities; assisting with shareholder communications; and periodic assistance with transactional related matters (e.g. venture financing, debt, office leases and M&A)
You'll need...
  • BA/BS exhibiting strong academic excellence
  • 1-3 years experience in contract management experience
  • Basic knowledge of contract types and ability to draft and review legal documents
  • Exceptional communication and interpersonal skills
  • Extremely well organized with a proven ability to multitask in a fast-paced environment
  • Strong problem solving skills and the ability to work independently, collaboratively, and pro-actively
  • Meticulous attention to detail
  • Excellent analytical and problem-solving skills
  • Demonstrated proficiency with MS Excel and experience with contract management and database applications
  • Preferred:
  • 1-3 years paralegal experience or law school experience
  • 1-3 years experience reviewing and editing SAAS licensing agreements, vendor agreements, NDAs and independent contractor agreements
  • Experience in a start-up or high tech environment
  • Some knowledge of intellectual property and finance is a plus
