Grubhub is seeking a Corporate and Securities Counsel in our New York or Chicago office. You will devote time to corporate governance, SEC filings and reports (10-K, 10-Q, 8K, Proxy, Section 16) and insider trading programs and policies. The ideal candidate should be business-minded, understand business objectives and how to balance legal risks under tight deadlines. We have a small legal team so looking for a team player who is collaborative and yet comfortable making decisions and willing to do other legal work, including transactional work, employment work and litigation/claim oversight. In this role you will report directly to the General Counsel.
Some Challenges You’ll Tackle
- Oversee and advise management on compliance matters under SEC rules, NYSE listing standards, Sarbanes-Oxley requirements and other corporate governance rules and regulations
- Review and/or prepare all SEC filings, including Form 10-Ks, Form 10-Qs, Form 8-Ks, proxy statements and Section 16 filings
- Advise management and board on executive compensation issues and matters related to the Company’s equity compensation plan
- Assist the General Counsel with the Board function and other matters relating to corporate governance; maintain corporate records; oversee general corporate recordkeeping and subsidiary maintenance
- Work on M and A, vendor agreements and other transactions
- JD degree from top law school with strong academic credentials
- Minimum of 4 years’ experience at a major law firm or in-house legal department
- Working experience with corporate governance and securities
- Member in good standing of the New York and/or Illinois state bar
- Excellent business judgment and ability to assess legal risk while also thinking strategically and providing practical advice
- Strong work ethic and ability to multi-task, prioritize and follow through on numerous projects simultaneously
- Exceptional communication, analytical and writing skills
- Must be a team player who is willing to pitch in where needed in a fast-paced, growing company
- Ability and desire to work autonomously
- Excellent organizational skills; detail oriented
- Technology and/or e-commerce experience is a plus
