General Counsel

Reporting to the CEO, the general counsel is responsible for leading corporate strategic and tactical legal initiatives. The general counsel provides senior management with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The general counsel is directly involved in complex business transactions in negotiating critical contracts.
What You’ll Be Doing:- Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and their legal implications
- Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.
- Creates and manages internal legal process to monitor all contractual matters including but not limited to licensing, contract review and drafting.
- Evaluates, defines, and drafts litigation strategies and business processes
- Partners with internal Security and Risk Management teams to address legal considerations as they relate to cybersecurity policies, domestic and international law enforcement requests and international privacy compliance including but not limited to DMCA, safe harbor compliance, data privacy protections based on regional requirements and certifications
- Researches guides and advises on all legal matter pertaining to corporate or operational expansion internationally. Manages subsidiary setup and structure in all territories globally, alongside outside local counsel as required.
- Establishing a process for IP recognition from the company’s engineering function, as well as follow through with IP filings alongside IP specialist outside counsel.
- Defining and monitoring compliance protocols and procedures across the business and with key stakeholders; ensures company maintains compliance as required contractually.
- Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable SEC et al. laws and regulations.
- Oversees the selection, retention, management and evaluation of all outside counsel.
- Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.
- Law degree from within the US
- Minimum of ten years total experience working with technology based businesses, either directly or from within a law firm; however, with a minimum of 5 years of in-house experience.
- Experience managing other attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources.
- Experience leading or playing a key counsel role in an IPO event, or managing M&A and strategic partnerships
- Experience working on matters of corporate governance and with a board of directors.
- Experience with data protection and privacy practices as well as complex IP litigation cases.
- Quantifiable track record of outstanding Corporate leadership within a fast paced, high growth, entrepreneurial environment
- Ideally experience would include working with SaaS/ recurring revenue
