SeedInvest is seeking an Associate Counsel to join our Legal team in New York City. This is a unique opportunity to not only join a growing legal team but also contribute significantly to a leading equity crowdfunding platform that is fundamentally changing the way private companies raise capital. We run extremely flat and are looking for someone that can not only execute, but become a core member of our team and contribute to the mission, vision, and culture here in a very positive way. This is a salaried full-time position with equity compensation. 

We are looking for someone:

You'll be expected to be very, very good at:

  • Establishing best practices and guiding members across the team
  • Continually finding ways to improve our processes across the board
  • Building and maintaining relationships with startup founders and management teams
  • Helping manage portfolio company reporting and data
  • Drafting and conducting thorough reviews of company offering materials for compliance with SEC/FINRA rules
  • Managing complex projects under tight timelines while communicating and working actively with the company's founders and people across the entire SeedInvest team

The minimum requirements are: 

  • BA/BS degree
  • JD degree
  • License to practice law in at least one U.S. jurisdiction
  • Minimum of 1-3 years of experience as a practicing attorney at a reputable law firm, a securities regulator (i.e. FINRA/SEC), or in-house at a startup or tech company
  • Excellent written and verbal communication skills

Some extra credit that we'd love to see:

  • Experience working on private placements, public offerings, or with investment companies
  • Experience drafting PPM’s, offering documents, or SEC filings (i.e. S-1, S-3, 10-K, 10-Q)
  • Fintech startup experience
  • Technology background and/or interest
  • Series 24 license
