We are seeking a talented and eager Compensation and Equity Manager to join our growing team! Reporting directly to our EVP of Finance and Operations, this role will be integral in facilitating the company’s policy and initiatives towards compensation, equity and compliance. 

As our very own internal expert towards equity management and corporate compliance, much of this role will be focused on owning cross-functional projects within Payroll, Tax, Accounting, Audit, HR, Legal, etc.  You will be the in house subject-matter expert able to offer your expertise and ensure that all relative teams are considering equity & compliance implications in all ongoing projects.  


What You'll Do

  • Oversees the corporate accounting function, which includes all equity and share accounting, capitalized software, preparation of the statements of cash flows and stock-holders equity as well as coordinations of the monthly close
  • Oversee the equity management platform to ensure the accuracy and integrity of Talkspace’s data
  • Responsible for tracking compensation elections (RSU, Stock Options and other vehicles of equity) as well as quarterly cash disbursements
  •  Research equity/ESPP implications in new territories, including but not limited to securities filings, tax withholding/reporting, exchange controls, data privacy, etc
  • Serving as the primary point of contact with our external brokerage firm, to execute employee equity transactions (including 10b5-1 transactions), ensuring accurate and timely tax withholding and reporting to the respective Payrolls, all the way through to timely settlement of all trades 
  • Partner with our external brokerage firm to process vesting and release of restricted stock units, and coordinate with US and International Payroll on accurate tax withholding 
  • Facilitate ESPP enrollments and purchases, as well as providing reports with Payroll 
  • Assist Legal and Compensation teams in the preparation and filing of Section 16 reports, Proxy reports, CD&A data, etc. 
  • Work with internal and external auditors and Finance team for quarterly reviews, year-end audits, as well as ensure that tight internal controls are in place and procedures are followed to satisfy periodic review of compliance with Sarbanes-Oxley 
  • Create and generate recurring reports for multiple internal and external corporate partners (e.g., HR, Payroll, Tax, Finance, Accounting, etc.), and respond timely to ad hoc data requests from various business partners
  • Communicate with equity plan participants regarding the equity programs, resolving questions, issues and concerns related to vesting, transactions, enrollment, and other general inquiries

 

About You

  • BA/BS degree or equivalent experience, preferably in Business or Finance related fields
  • 5-8 years’ experience with options, RSUs and ESPPs in a public company 
  • Strong knowledge of tax regulations related to equity compensation plans 
  • Highly organized, process-driven, independent, self-motivated, solution-oriented 
  • Solid understanding of U.S. Federal and state taxation for equity compensation
  • Solid understanding of SOX compliance requirements
  • Advanced in Excel, G-Suite, and other BI and analytical tools. 
  • Ability to handle multiple projects and competing priorities with multiple stakeholders across the company
  • Strong attention to detail and ability to perform self-audit to ensure data integrity
  • Certified Equity Professional (CEP) designation preferred; familiarity with Carta, Workday, ADP a plus
