The Legal and Compliance team makes critical decisions that impact both product development and company direction. Judgment, competence, empathy, ability to collaborate within and across functions, and a good sense of humor are critical to success on our team. Working in a fast-growing fintech startup also demands that we are solutions-oriented and are comfortable operating in a rapidly changing environment. We are looking for an Assistant General Counsel to build and manage the corporate function for Brex. This is an outstanding opportunity for the right lawyer to help define corporate strategy, drive financing and partner deals, and manage, and work closely with the executive team and the board to build Brex for scale. You should be adaptable and solutions-oriented with an ability to think on your toes with senior executives, and have a keen ability to understand, evaluate, and prioritize tasks based on business risk. Experience in financial services and with technology companies is strongly preferred.

What you'll do:

  • Work closely with the CEO and other executive leaders to establish and support corporate governance at Brex
  • Manage domestic and international entity formation and management
  • Manage the capitalization table and investor and employee equity matters
  • Lead equity and debt financing deals (including negotiating warehouse and mezzanine lines) and secondary transactions; manage production and due diligence materials and disclosure schedules
  • Manage corporate governance (including updating governance docs, supporting the implementation of controls, board meeting prep, and drafting board resolutions) and supporting investor relations
  • Support Brex’s corporate development efforts, including mergers and acquisitions (M&A)
  • Be the primary point of contact to the People team on various employment-related matters to the Finance team on various matters including global tax strategy and audit and IPO readiness
  • Negotiate debt transactions, including structured finance and warehouse lines
  • Build and manage the team focused on providing the services above across the organization

What you will bring:

  • Outstanding judgment and integrity, ability to balance complex matters independently and closely manage outside counsel
  • 8+ years working experience in a combination of law firms and technology or traditional financial services companies, experience in startups is a plus
  • Creative disposition and a problem-solving approach to lawyering that draws on your experience and your intuition coupled with validation of assumptions and the law
  • Thrive in a dynamic, fast-paced environment and able to turn work around very quickly, as needed
  • Management experience required and the ability to build a world-class team
  • Entrepreneurial and ability to work across various modes of communication; strong sense of purpose; enjoy working cross-functionally with colleagues in a low-politic environment
  • JD and admitted to practice in New York as a fully-admitted attorney or registered in-house counsel
