Assistant General Counsel II - Corporate Transactions
Do you love working in a dynamic environment and are you passionate about being part of a team dedicated to supporting MSK's mission? We have an exciting new opportunity for an attorney specializing in healthcare and academic research related transactions to join our legal team.
We Are:
Our team includes attorneys spanning multiple legal practices tasked with providing a variety of services for MSK. Through our combined expertise and experience, we assist MSK staff across all departments by facilitating agreements and projects that further the mission of MSK. Our goal is to help our clients, reach and exceed their goals by working collaboratively to provide answers and assistance on any legal inquiry.
You Will:
- Provide transactional, legal, policy, and strategic guidance to a diverse client base regarding healthcare, research, and commercial transactions.
- Collaborate with business departments and attorneys on healthcare, research, and compliance matters to help clients navigate their business within a clear legal framework.
- Assist with the interpretation, development and drafting of institutional policies and procedures, develop training materials, develop and maintain template agreements and negotiation guidelines, and interpret contracts, statutes, and regulations.
- Negotiate and draft contracts for institutional activities including clinical lab services, clinical student affiliation agreements, independent contractor agreements, grant agreements, gift and fundraising-related agreements, and corporate transactions.
You Are:
- Skilled at preparing and negotiating contracts, issue spotting, legal research and analysis, risk management, and client interactions.
- Detail focused, organized, efficient, and consistently achieve positive results, providing exemplary client service, even under challenging circumstances.
- Comfortable working in a fast-paced environment and both collaborating on a team and working independently to get the job done.
- Adept at balancing multiple assignments simultaneously and have a project management mindset
- Able to, and enjoys, cultivating positive relationships with colleagues, clients, and leaders at every level, while maintaining an independent and objective perspective.
- Capable of providing candid, sound, clear and direct legal advice (in both verbal and written forms) that is pragmatic and recognizes the broader consequences of the legal advice.
You Have:
- A Juris Doctor degree and admission to the New York State Bar
- A minimum of four to seven years of legal experience
- An understanding of the legal and regulatory matters associated with a not-for-profit or tax-exempt charity
- Experience handling intellectual property rights in a variety of transactional contexts
- Direct experience with healthcare, academic and clinical research transactions is preferred
- Strong computer and software proficiency
