Capital Markets Contracts Manager

We’re looking for a smart, driven individual to join our Capital Markets Team as a Contracts Manager. Affirm Capital Markets is responsible for developing and implementing an ongoing strategy for funding our loans - a complex role essential to the functioning of a modern financial institution. The ideal candidate will have a general understanding of financing and/or corporate transactions and a strong desire to learn and grow in a position focused on capital markets and finance. In addition, the ideal candidate will have exemplary organizational and communication skills, be capable of handling multiple responsibilities, and have the desire to work with both internal and external stakeholders. Although we seek an individual to join the Team as a Contracts Manager, we would be supportive of candidates interested in transitioning to a non-legal role on the Capital Markets Team over time.
What You'll Do
- Assist with all legal aspects of Affirm’s financing transactions, including drafting closing agendas, organizing closing documents, tracking and organizing signature pages and coordinating closing mechanics
- Draft officer certificates, board and shareholder resolutions, and side letters
- Assist with the management of regulatory, tax, Uniform Commercial Code (UCC), and other filings
- Identify and help implement process improvements to policies and procedures
- Lead diligence processes to help investment banks, hedge funds, asset managers, and other financing counter-parties understand Affirm’s assets and business in order to receive, evaluate, and provide feedback on term sheet proposals
- Assist Capital Markets Counsel with the review, formatting, and editing of transaction documents
- Maintain an efficient document filing system and manage retention of electronic and paper documents (e.g. loan agreements, amendments, waivers, NDAs, and other key documents)
- Collaborate on team initiatives and other special projects
- Support the broader Capital Markets Team while interacting cross-functionally with other departments and outside counsel
What We Look For
- Bachelor's degree or equivalent experience
- At least 2 years of experience as a corporate paralegal at an established law firm; experience working on financing transactions, specifically in the area of structured and/or debt finance, is preferred
- Strong organizational skills with an emphasis on time management, documents, projects and relationships
- Extreme attention to detail, ability to adjust on the fly, problem-solving skills, intellectual maturity, business acumen, proactivity, and a great attitude
- Excellent writing, communication, and interpersonal skills
- Experience with G Suite, Microsoft Word and Excel, Adobe, dataroom and redlining software
- Natural self-starter with the ability to work efficiently both solo and as part of a team
- Impeccable integrity and work ethic
