About the Role:


Transfix is growing in exciting ways, and we are looking for a Chief Counsel, Securities and Public Company Matters to help us in these growth efforts. This is a hands-on position for someone who is interested in leading all securities and related corporate compliance matters. The attorney will oversee and manage SEC/securities and related governance matters, support accounting and investor relations functions, and advise members of senior management on various issues within these areas. In this role, you will report directly to the General Counsel. Ideally, you’re located in the New York area and are able to come into our midtown NYC office in a hybrid remote/in-person schedule.

In this role you will:

  • Work closely with our finance team and outside counsel as needed to draft all securities filings (e.g., 10-Ks, 10-Qs, 8-Ks, Section 16 filings, and proxy statement) 
  • Oversee all securities law disclosure review and advice (e.g., press and earnings releases, investor relations presentations, website disclosures, Regulation G, and Regulation FD matters)
  • Manage securities law administration and compliance (e.g., equity incentive plan matters, securities trading policy administration, transfer agent matters and matters with respect to other securities laws, and exchange requirements)
  • Assist with the preparation, organization and delivery of materials for board and board committee meetings, and the annual stockholder meeting
  • Draft and/or review board of directors resolutions, board materials and minutes, committee documentation, earnings-related documents (press releases, Board/call scripts, investor presentations, etc.) and certain other disclosure-related documents
  • Provide day-to-day counseling and advice on corporate and securities law matters
  • Support our General Counsel in advising the Board of Directors on corporate governance and best processes and practices
  • Support accounting and investor relations functions
  • Support human resources on executive compensation, as well as employee equity plan design, implementation and administration

You’re an excellent fit for this position if you have:

  • A J.D. (or equivalent) and admitted to the New York Bar 
  • 10+ years of related legal experience, with a combination of in-house experience and training at a nationally recognized law firm
  • A strong understanding of evolving ESG, including governance and disclosure best practices with relevant policy positions of proxy advisory firms, ESG raters, and rating agencies
  • Verbal and written communication, analytical, and interpersonal skills; you’re collaborative, can remain calm under pressure, but are not afraid to say what’s on your mind in a way that will drive the right results
  • Intrinsic motivation; you’re a self-starter who can multi-task in a dynamic, fast-paced environment
  • Proven ability to work both independently and collaboratively across diverse teams, including your own legal team, finance, HR, and others
  • Experience within a startup or emerging growth company would be great!

Location

Transfix's NYC HQ is steps from the Oculus and Fulton Center, with access to subway train lines. We are close to tons of restaurants, shops. We are on the top floor so have wonderful light and breathtaking views, including a spectacular view of One World Trade from our outdoor rooftop deck!
