Commercial Counsel

Zocdoc is looking for a Commercial Counsel to focus on a wide variety of agreements. The right candidate will be able to drive a significant volume of transactions, both strategic and revenue-generating, as well as counsel Sales, Business Development, and other teams on a variety of licensing, intellectual property, commercial, and privacy issues.
What you’ll do:
Structure, revise, and negotiate contracts with a variety of client entities, including health systems, physician practices, and individual healthcare providers.
Support the design and implementation of legal forms and processes.
Be the Legal point-of-contact for all matters relating to Enterprise Sales, including working closely with Enterprise Sales and Enterprise Operations teams, advising and coaching Sales Executives on deal and negotiation approach, and engaging in high-stakes negotiation.
Structure, prepare and negotiate commercial technology-related and other general services vendor agreements, including cloud services agreements, software licenses, professional services, consulting agreements, advertising agreements, third-party data licenses, and NDAs.
Work with business owners across our company, including IT, Engineering, Marketing, Product, and Operations, to develop legal agreements and policies that address business needs and appropriately manage risks.
Make good and timely decisions that keep the organization moving forward while balancing multiple stakeholders’ interests.
- Advise on the requirements and restrictions for transfer of personal and health data by Zocdoc and its contracting parties
Leverage and manage outside counsel resources based on need, expertise and capacity.
Provide as-needed support for the rest of the Legal team.

What’s required:
Ideally, candidates will have between 3 to 5 years of in-house and/or top-tier law firm transactional experience doing technology-related deals, including inbound and outbound products and services.
Experience counseling technology, health-tech or early stage companies strongly preferred.
The ability to run deals with little to no supervision.
An outstanding academic background, a J.D. degree from a top-tier law school and membership in at least one state bar (preferably NY).
Strong analytical abilities and clear and concise written and oral communication skills.
Attention to detail is a must.
Strong communication skills, including the ability to explain complicated concepts in simple terms.
Highly motivated, efficient, and organized; able to juggle multiple projects at a time in a fast paced environment, both collaborating on a team and working independently to get the job done.
Exceptional interpersonal skills. Ability to build relationships and comfortably interact with people across levels, functions and teams.
A passion for always learning and always growing.
Desired certifications: CIPP/US, CIPM, or CIPT
Experience advising on healthcare regulatory issues, including HIPAA, Stark and Anti-Kickback statutes, a plus.
