Flatiron is looking for an experienced Contracts and Procurement Associate/Manager to work directly with the General Counsel and support the in-house needs of Flatiron’s Legal Department based in NYC. The ideal candidate will have experience working in a fast paced, entrepreneurial, start-up environment, preferably in the technology and/or health care space. Working within a small Legal department, your initial work will cover general corporate matters, contracts and document management and legal issues as they arise within the department.

Responsibilities:

  • Assist in the preparation, negotiation and execution of Non-Disclosure Agreements, Third Party Data Access Agreements, Service Orders and other sales related contracts
  • Assist in the management, coordination, review and negotiation of procurement contracts
  • Work with members of the Legal team to prepare and maintain any updates to contract templates and forms as well as policies and procedures around contract approvals, template management and document retention
  • Organize, manage and maintain database of shared folders, documents (e.g., contract templates and approved alternative provisions), related sign-offs and other reference materials in an effort to streamline contract process and optimize efficiency and productivity
  • Identify, summarize and document material terms and key dates of executed agreements
  • Maintain corporate documentation and filings as necessary, including corporate existence and good standing for legal entities in various jurisdictions; regularly update corporate database and internal reference documents
  • Support the corporate governance function, including maintaining and updating state filings and registrations, minute books and directors and officers listings, preparing corporate resolutions and consents, and managing documents related to stock options / equity
  • Assist with management and collection of information in response to document requests
  • Track and manage external legal spend
  • Perform general administrative support for the Legal Department and other duties and projects as assigned
  • Serve as support and liaison between Flatiron’s Legal Department and various business departments, by promptly responding to requests/fielding questions and escalating matters as needed.
  • Serve as appointed notary

Requirements:

  • Bachelor's degree from an accredited university or college;
  • Experience working within a Top 100 national law firm, a technology/software company or Life Sciences company
  • Experience working within contract management systems
  • Excellent interpersonal and relationship management skills required with the ability interact productively throughout Flatiron
  • Ability to manage a large volume of concurrent tasks within specific timeframes, with a high degree of accuracy and timeliness in work
  • Excellent organizational, writing and proofreading skills
  • Ability to independently organize and prioritize issues and workload
  • Flexibility and ability to adapt to changing environment and priorities
  • Excellent judgment, integrity, discretion and problem solving skills
  • Notary commission is a plus
