Latch is seeking a Commercial Counsel to join its growing Legal Department.  This role will report to the Senior Counsel and the ideal candidate will have a strong background in contract negotiation and management, procurement processes, and legal operations.  This is a unique opportunity to work with the legal team to build and scale the contract negotiation processes of a newly public, cutting-edge technology company that builds world class hardware and software.  

This position will coordinate with various organizations and individuals across the company (e.g. product, sales, engineering, and international business teams) to draft, negotiate and manage key contracts with suppliers, vendors, partners and customers. 

Responsibilities:

  • Review, draft and negotiate confidentiality and nondisclosure agreements, professional service agreements, consulting agreements, marketing and event contracts, software and SaaS agreements, licensing agreements, and contract amendments.
  • Take lead role managing procurement, development, and vendor agreements in connection with our business operations, sales and engineering teams.
  • Support the rollout of our direct sale model and various new product and service launches.
  • Maintain ongoing relationships with key suppliers, international and domestic, and negotiate new terms or deals that may arise.
  • Support ongoing development of contract negotiation playbook to triage and process a high volume of agreements.
  • Take ownership of the contract management workflow, including the implementation and use of contract management software.

Qualifications:

  • JD degree and membership to at least one U.S. state bar, with 3-6 years of relevant experience, with a strong preference for experience in-house drafting and negotiating SaaS and hardware agreements.
  • Track record of effective work in a high growth company, organized and process-driven, with the ability to work independently as well as with various stakeholders and team members.
  • Proven ability to work autonomously, with excellent written/verbal communication and presentation skills, and the ability to understand and clearly communicate technical issues to policymakers and media.
  • Comfort with a fast pace, including the ability to assess, synthesize and share disparate and quickly changing information with necessary stakeholders in a clear, timely, actionable manner.
