What you will be doing
As the Corporate and Commercial Counsel at Eden Health, you will be the second member of the legal team, reporting directly to the General Counsel. You will have a unique opportunity to help build the legal function from the ground up while acting as a cross-functional strategic advisor. You will have responsibilities across the legal function and primary focus on strategic contracts with impactful transactions. A successful team member in this role will focus on protecting the company from legal and business risks while enabling the company’s fast growth and expansion. This is a remote position and we will consider candidates from any U.S. location, with a preference for New York. You will be expected to work Eastern time zone business hours. Occasional travel may be required for team events.
What success looks like
- Structure complex transactions and develop solutions to challenging legal and business issues while managing risk and ensuring the company gets the intended benefit of the transaction
- Draft and negotiate key revenue-generating contracts with our customers and partners
- Identify, conceptualize and implement processes and tools for scaling our contracting process
- Review and negotiate a wide variety of vendor agreements in collaboration with all teams across the company
- Own entity formations and many corporate governance areas
- Review marketing materials
- Own intellectual property filings
- Manage outside counsel as needed in connection with the above areas
- Potential other areas as they arise - the right candidate will be eager to learn and not afraid of the unknown!
What you will bring
- JD (or equivalent) and member of a U.S. state bar in good standing
- 2 to 4 years of experience in a transactional legal practice (some in-house experience preferred, but not required)
- Outstanding contract drafting skills and some negotiation experience
- Some exposure to healthcare laws/regulations would be an asset, but is not required; however, an interest and eagerness to learn about the U.S. healthcare system and laws is a must
- A business-oriented, practical and creative mindset (your instinct is to find solutions, not just problems)
- Drive to work independently and to plan and prioritize multiple tasks
- Strong leadership, analytic, organization and project management skills
- Willingness to wear multiple hats and approach any task with a can-do, flexible attitude, understanding that no job is too big or too small
- Ability to foster pleasant and productive working relationships with all internal and external stakeholders
