Corporate Counsel, Transactional Lawyer
About the Role
Are you tired of working in a legal practice and looking to transition into one of NYC's fastest scaling start-ups? Yieldstreet is hiring an in-house Corporate Counsel that has strong experience in secured lending and specialty finance. This candidate will report directly to our General Counsel and work closely with the Investment and Origination teams in processing new debt originations in asset classes including art, commercial, consumer and real estate. You will lead and manage the legal aspects of each transaction from inception to closing. We expect you to live and breathe credit-based transactions and securities offerings.
While we are currently working remotely due to the pandemic, this role will be based out of the NYC office and requires someone to be located within a commutable distance.
What you'll do:
- Work closely with the investment team to structure and close U.S. and cross-border secured lending transactions and negotiate, draft and manage related loan or investment documentation in various asset classes, including art, commercial, consumer and real estate
- Draft and manage cross-border art loan related legal documentation, including auction house/gallery consignment agreements, storage agreements, museum loan agreements and bailment agreements
- Negotiate, draft and manage participation and asset purchase agreements, loan purchase agreements, operating agreements, and loan facility documentation in the context of a direct lender or participant, as well as other investment documentation as the context may require
- Develop an expertise in Yieldstreet’s offering vehicles and structures and work across teams at Yieldstreet to expand our distribution network through improved vehicles and structures
- Manage compliance with legal requirements of warehouse facilities and leverage facilities
- Work on securities offerings' disclosure documents and related issues for deal documentation
- Attend to corporate governance documents for Yieldstreet and its affiliates
- Attend to various filing requirements for Yieldstreet’s regulated 40 Act closed end fund
- Negotiate vendor contracts, non-disclosure agreements and other commercial agreements
- Assist with the general legal needs of Yieldstreet and liaise with various teams and stakeholders both internally and externally
What you’ll need:
- J.D.
- 4 - 6 years of legal experience in a law firm and/or in-house experience
- Expertise in secured lending/specialty finance/structured finance
- Strong transactional expertise
- Experience with funds and/or securities laws and/or capital markets transactions a plus
- Strong communication skills, and be exceptionally organized and detail-oriented
- Ability to multi-task and manage various projects, meet deadlines, excel under pressure, and work independently
