About this role: 

We are looking for a Corporate Counsel to join our small legal team to provide legal protection to Foursquare and our employees. This individual will report directly to Foursquare’s General Counsel and will be responsible for many day to day legal issues facing the company. This individual will interact with the Sales & Business Development teams, and occasionally with members of the product & engineering teams. This person will also interact with clients to draft, review, and negotiate contracts, resolve disputes, and have an opportunity for continued growth and development.

The ideal individual will have experience with complex technology/API/SDK licensing agreements, data partnership agreements, SaaS agreements, exposure to privacy law, and experience working on an in-house legal team for a tech company or startup. 

Additional members of the legal team include: 1 additional corporate counsel, 1 senior counsel and the General Counsel/Chief Compliance Officer. The position is based out of NYC in our Flatiron HQ. 

Responsibilities:

• Review, draft, and negotiate a wide variety of commercial agreements, including master services, licensing, professional services, marketing, and vendor agreements; partner with relevant business stakeholders as necessary
• Assist with corporate, M&A, intellectual property, privacy, litigation, employment, international and other legal matters as required
• Provide strategic legal advice and counsel on a broad range of legal topics

Requirements:

• A Bachelor’s Degree, a Juris Doctor from an accredited U.S. law school, and a license to practice law in at least one U.S. jurisdiction
• 3-6 years of experience practicing law, preferably with experience being part of an in-house counsel/legal team
• Experience drafting and negotiating complex commercial agreements, including licensing agreements (data licensing, SDK, API agreements, SaaS agreements) 
• Technology, IP and privacy experience is a must
• Business judgment and ability to assess legal risk while providing practical advice
• Ability to act as a legal advisor and partner, providing insight and advice in conversations with the sales and BD teams
• Enthusiastic team member who enjoys taking ownership of projects, building relationships cross-functionally and working on cutting-edge legal issues
