We are looking for an experienced Corporate Counsel to advise on all legal matters affecting Freshly’s supply chain, intellectual property, human resources, real estate and construction, terms of service, privacy, and more.
Responsibilities:
- Counsel and advice on all legal matters affecting Freshly’s supply chain, intellectual property, human resources, real estate and construction, terms of service, privacy, and more
- Proactively develop and improve internal policies and procedures, including contract management, template agreements, record keeping, negotiation, and corporate governance.
- Supporting regulatory and compliance initiatives as they relate to food safety and other facets of Freshly's business.
- Draft and negotiate a variety of commercial agreements, including supplier, vendor, distributor, employment, confidentiality, NDAs, stock options, and other operational and commercial agreements related to Freshly’s operations.
- Build close relationships with the team and maintain a strong knowledge of the products and objectives of those operations, while managing and working with outside counsel as needed.
- Engage in other projects as needed, including due diligence and related support on strategic transactions, as needed.
- Stay on top of industry best practices, trends, and developments while educating colleagues as needed.
- Provide legal support to refine and implement best in class labor and employment practices and policies that align with Freshly’s strategy and goals
- Manage outside counsel efficiently, getting necessary resolution and maintaining budget.
About You:
- At least 7-10 years in a large corporate law firm and/or in house experience with a food manufacturer, CPG company, and/or venture backed tech company.
- J.D. from a top law school, NY State bar admission preferred
- Extensive experience with nuanced commercial legal issues within the food supply chain and food procurement is a must.
- Merger and acquisition experience and expertise in raising capital either through private investors and/or IPO/ICO
