The Corporate Counsel role
We’re seeking a hardworking, emotionally intelligent, articulate, organized, scrappy and pragmatic Corporate Counsel who is excited to be a true in-house generalist in a mission-driven, fast-growing fintech company.
The ideal candidate will have a strong track record of corporate/transactional legal experience, which may include venture capital, tech transactions, leveraged/structured finance, capital markets, M&A or other general corporate law experience relevant to Petal’s business. The ideal candidate will also have a growth mindset and passion for learning new things, will be a solutions-oriented, creative thinker, and will be comfortable in a fast-scaling startup environment. The ability to effectively communicate and collaborate across diverse, cross-functional stakeholders, both internal and external, is essential.
Key responsibilities:
- Draft, review and negotiate a wide range of commercial contracts, including partnerships and business development, technology licensing, data licensing and other tech transactions, services agreements, NDAs and a wide range of other commercial arrangements
- Lead contract management efforts, including ownership of contract management platform and development, implementation and refinement of forms, processes and procedures
- Support strategic transactions, including equity raising, debt financings and corporate development
- Contribute to corporate governance and secretarial functions
- Assist with corporate insurance program and other risk management efforts
- Help with management and resolution of commercial disputes
- Build close relationships with business partners across the company, including members of the product, engineering, marketing, business development, risk, operations, compliance, finance and people teams
- Manage outside counsel and vendors as appropriate
- Develop and maintain a strong knowledge of Petal’s business and objectives, as well as relevant legal and regulatory developments
- Engage in or lead various other projects and duties on an ad hoc basis
Characteristics of a successful candidate:
- 3-4 years of experience, including at least 2 years in a corporate/transactional practice at a leading law firm
- J.D. degree and admitted, active and in good standing with the NY bar
- Problem-solving versatility and comfort in ambiguity — we are innovating rapidly and doing things others haven’t done before; you must be able to navigate uncertainty, figure things out quickly, and propose well-developed, actionable solutions with less-than-perfect information
- Superior attention to detail — excellent work product is essential
- Outstanding communication skills — you can present complicated issues clearly and succinctly, enabling effective collaboration with cross-functional internal teams and external stakeholders
- Positivity and high EQ — you look on the bright side while being authentic, confident but low-ego, reflective and self-aware; you have a growth mindset, embracing constructive feedback and always seeking to improve
- Strong self-management, drive and organization — you can work independently and juggle multiple projects simultaneously, without dropping any balls, and you are driven to create, improve and optimize processes
Nice-to-haves:
- In-house experience at a technology/fintech company
- VC/emerging company experience
- Structured finance experience, especially with warehouse facilities, forward-flows and securitizations (and a big plus for credit card receivables)
- Experience in the credit card / consumer lending industry, and related regulatory experience
