The Role


We are looking for detail-oriented Counsel to join our fast-paced, customer-centric legal team to support our internal business partners. In this role, you will be responsible for providing legal support to internal business units and engaging with Veeva’s vendors, reviewing and negotiating a range of vendor contracts. These include complex technology agreements, non-disclosure agreements, services agreements (marketing, media, event venues), software license agreements, consulting agreements, and leases, building a team to support Veeva’s business units as they purchase products and services, developing a process to help Veeva as it continues to grow.

 

You will use your knowledge of key contract terms and purchasing processes to deliver excellent customer service to your internal customers.

 

You will report to the Associate General Counsel. This position is based out of any location in the US.

 

What You'll Do

  •  Review, redline, and negotiate vendor contracts, including non-disclosure agreements, services agreements (marketing, media, event venues), IT license agreements, consulting agreements, and leases
  • Grow and manage a team; demonstrate the ability to multi-task; organize work and manage time to achieve maximum efficiency; keep the team informed of work/project status; consistently improve team results by taking initiative and assuming more responsibility
  • Handle contract review requests through contract execution, including maintenance of the contracts database 
  • Verify contractual details for accuracy 
  • Process standard template agreements for signature and entry into contracts database 
  • Work with internal clients and other stakeholders to define requirements for purchasing agreements 
  • Monitor incoming requests and new inquiries to ensure timely review and resolution
  • Coordinate with the finance team and other stakeholders
  • Other ad hoc special assignments

Requirements

  • Graduate of an accredited law school and member in good standing of an applicable state bar or professional organization
  • Experience in-house at a tech company or similar fast-paced environment
  • 4+ years of transactional experience reviewing, redlining, and negotiating commercial agreements
  • Substantive expertise in at least one of these areas: IT agreements, marketing agreements, and/or commercial leasing 
  • Experience using an electronic contracts database and filing system (contracts are managed in Salesforce)
  • Self-starter with the ability to juggle multiple tasks simultaneously and produce high-quality work
  • Strong communicator who ensures confidentiality and acts with discretion at all times
  • Advanced proficiency using MS Word -related document editing, redlining and comparison applications, Adobe, and Gmail 

Nice to Have

  • Experience with marketing agreements, including creative services, creative content licensing, events, media placement, talent, sponsorships, and digital/print marketing
  • Experience with Data Privacy and GDPR
