THE POSITION:

This position reports to the Vice President, Mergers & Acquisitions, Legal and will provide legal support for corporate development department. The Director, Mergers & Acquisitions, Legal will draft and negotiate long-form agreements for joint ventures, acquisitions, investments and other equity-based agreements, both domestically and internationally. He or she will be responsible for driving deals to close and will have experience in the M&A department of a top tier firm.

Responsibilities:

  • Drafting, reviewing and negotiating investment agreements, shareholders agreements, purchase agreements, joint venture agreements, license agreements, services agreements and other agreements as required by the deal structure
  • Drafting and negotiating non-disclosure agreements
  • Providing advice relating to international foreign ownership law, statues and regulations
  • Coordinating with local counsel for international ventures
  • Providing operational support for market entry ventures

Qualifications:

  • J.D. degree with admission to one or more state bars in good standing required (NY or CA preferred)
  • 4-6 years of legal experience in a top tier firm or corporate environment, with experience in the Mergers & Acquisitions practice required and experience as lead associate required
  • Experience with transactions with an intellectual property focus preferred
  • Experience with international ventures preferred
  • Experience with digital media, television, advertising agencies or similar companies preferred
  • Highly organized, detail oriented and self-motivated
  • Superior communication and interpersonal abilities
  • Excellent drafting and contract negotiation skills
  • A demonstrated ability to work independently and as a team member while serving a variety of departments within the company 
  • Ability and desire to work in a fast-paced and challenging environment, prioritizing and juggling multiple matters
  • Ability to use good judgment and common sense when interacting with outside and inside contacts and performing job functions
  • Flexibility and willingness to work with other corporate departments
  • Positive attitude
