Role
We are looking for a General Counsel to provide hands-on support to all levels of the executive staff and manage the operations of the legal department. Counsel is an integral part of structuring how new business relationships will be made while maintaining legal compliance. You will have the opportunity to research and lead legal issues that are key to the growth of our business as well as develop solutions. Additionally, you will work cross-functionally with finance, operations and compliance to drive implementation. This role involves both strategic leadership as well as work in the trenches to get things done. You’ll report to the CEO.
What You’ll Do
Financial & Governance
- Attend Board meetings and provide board counsel, serve as board secretary
- Cap table maintenance with CFO and outside law firm
- Work closely with CFO and outside accountants on sales tax, revenue recognition, audit issues, loan and financing compliance
- Oversee debt and financings
- Active participant in business leadership team and clinical operations team
Strategic & Operational
- Partner with business development group to structure, negotiate and document B2B relationships
- Coordinate with operations team for our 48 affiliated professional entities
- Partner with operations team on health insurance/billing function
- Mitigate and advise on risk management and liability insurance; manage dispute resolution
- Develop and implement training programs in quality and compliance by working closely with Human Resources on related issues
- Contract development, review and management
- Partner with studio team on development and operation of retail locations
- Stay knowledgeable of local regulatory changes and work with leadership to develop communications with regulators
- Select and manage outside counsel
- Develop and refine marketing compliance guidelines and review marketing materials
- Act as Privacy Officer, coordinate with IT on HIPAA and CCPA compliance
- Assist in the legal implementation of our national network of orthodontists
- Help to manage business expansion and growth
- Oversight of IP and regulatory compliance
What You’ll Need
- 7+ years of experience
- Experience coordinating deal teams or shepherding transactions
- Experience working cross-functionally with different teams in a business
- Strong writing and organizational skills
- Experience with HR issues preferred but not required
- Knowledge of health care regulatory preferred but not required
