The Legal Director will report to the General Counsel. The Legal Director will be the primary corporate legal advisor in relation to setting up and managing Celonis group legal entities at a corporate level and also act as a senior negotiator of customer contracts.
Responsibilities:
- Act as the primary contact to ensure compliance with national requirements relating to Celonis local entities including significant interaction with other Celonis functions such as tax and finance, and local external legal advisers
- Advise on possible M&A activities of Celonis group and preparations for a potential public offering
- Support Employee Stock Option Program and similar programs
- Prepare documentation as necessary to mirror growth of executive footprint in the USA
- Support customer contract negotiations on an ongoing basis
Requirements:
- Undergraduate degree and a law degree/JD from highly regarded schools
- Active bar membership
- 7+ years combined experience in law firm and/or in-house legal department including experience relating to corporate governance and M&A
- Ideally, exposure to corporate work in the context of public offerings such as SEC requirements
- Significant drafting and negotiation experience including in relation to software/technology license/cloud agreements and professional services agreements
- Excellent written/verbal communication and negotiation skills
- Highly responsive and service-oriented attitude
- Ability to organize, prioritize and manage deadlines in a fast-paced and demanding work environment
- Ability to maintain strong working relationships with demanding internal clients and in relation to remote team and management members
- Sound and practical business judgment
