About the Role
Yieldstreet is hiring a Paralegal to assist its Legal team. You will be focused on creating and maintaining documents, records and filings for a multitude of Yieldstreet entities and funds managed by Yieldstreet’s registered investment adviser, including Yieldstreet’s regulated 40 Act fund. This role will report to the General Counsel. You will be at the epicenter of the organization, assisting the Legal Team to ensure that all investment and regulatory filings are completed in a timely manner and help us to ensure that we are compliant with state and federal securities laws. What you'll do:
- Prepare necessary legal documents for investment funding and transactional closings
- Prepare and organize Board materials and corporate governance documents
- Provide significant support in connection with investment funds, including preparing documents for EDGAR filings (including Form 3s and 4s for our 40 Act fund) and tracking sales for state blue sky filings
- Provide significant support in connection with transactional closings, including obtaining signatures from the appropriate parties and updating files and closing sets
- Assist Legal team with research of general legal issues
- Establish and maintain a database for corporate records, company policies, procedures and legal document filings including: EDGAR filings, Form D filings, blue sky filings, UCC-1s and UCC-3s
- Collect information necessary to form entities (including all SPVs), apply for relevant EINs and EDGAR codes, draft and file required formation and governance documents and structure charts and maintain up-to-date records in an entity database
- Partner with Legal and Operations teams to assist with contracts management system
- Assist with entity formation, dissolution and entity foreign qualifications
- Maintain and refine company business processes
- Manage closing documents, binders and deliverables for corporate deals
- Assist with the creation and negotiation of confidentiality agreements and various vendor contracts
- Assist with (KYC) know-your-customer and other similar informational reviews and requests
- Draft consents, resolutions and various corporate governance documents
- Review and prepare subscription agreements for third-party manager strategies
- Support and manage a variety of ad hoc projects within the team as they arise
- Litigation tracking and reporting, maintaining pleadings, aiding outside counsel with interrogatories & other discovery, reviewing and supervising litigation budgets & invoices
What you’ll need:
- Undergraduate degree, preferably in business, finance or a related field
- 4+ years of corporate experience with a deep understanding of investment fund and asset level structures
- Experience at a law firm or a corporate legal department
- Experience with regulated 40 Act funds a plus
- Ability to prioritize and handle multiple projects simultaneously
- Familiarity with computerized databases and on-line services
- Excellent communication skills, both verbal and written
- Strong analytical problem solving and research acumen
- Excellent organizational skills, deadline driven, but always focused on the details
- Ability to work independently and proactively as well as part of a team
- A strong work ethic
- Comprehensive knowledge of MS Office (including Word, Excel, Outlook, Visio and PowerPoint), Workshare and Adobe
- Notary preferred or willingness to obtain
