Joining Collibra's Legal team:

The Senior Corporate Counsel will be exposed to a variety of legal and business matters and will report directly to Collibra’s General Counsel.  The ideal candidate is a self-starting problem-solver who can work both autonomously and collaboratively, as the circumstances warrant, and also roll up her/his sleeves when necessary to get the job done.

The Senior Corporate Counsel at Collibra is responsible for:

  • Assist with corporate governance matters, including support in connection with preparations for Board of Directors, Board committees and shareholder meetings
  • Support M&A transactions, including partnering with the business on deal structure and LOI terms, planning and assisting with due diligence, drafting and negotiating deal agreements, actively managing deal process and execution, and assist with managing post-closing integration activities - Draft and negotiate customer sales agreements, commercial partnership agreements, and services agreements
  • Assist with subsidiary governance and administration, including partnering with other members of the legal team on board matters, inter-company agreements and compliance with applicable laws and regulations
  • Advise on legal aspects of corporate transactional matters, including corporate finance, leases and other facilities related transactions.  Coordinate among the legal, finance, and corporate development teams and external corporate counsel regarding the same.
  • Support initiatives and functions including public company readiness, ESG, investor relations and corporate communications..
  • Work collaboratively and responsively with a broad range of colleagues and stakeholders, and develop trusted relationships to facilitate a coordinated team approach - Work with finance team to support stock administration on equity matters and employee education.

You Have:

  • J.D. from an ABA accredited law school (or foreign equivalent)
  • Membership in at least 1 U.S. State Bar, with good standing
  • 5+ years of corporate, M&A, and securities law experience at a major law firm and/or in-house as a generalist corporate attorney working with public companies
  • Experience with Belgian corporate law a significant plus, though not required

  • Flexibility to assist the legal department in its activities and its mission

Reporting to Collibra's Chief Legal Officer, Senior Corporate Counsel measures of success are:

  • Within your first month, you will familiarize yourself with your colleagues and Collibra’s business.
  • Within your third month, you will independently manage various corporate legal projects.
  • Within your sixth month, you will be seen as a valuable strategic advisor to the business.
