Coinbase is looking for an exceptional employment attorney who specializes in compensation, benefits and M&A matters.  Reporting to the Director, AGC, Global Employment, this role will be Coinbase’s first dedicated comp and benefits attorney, working closely with our People, Corporate Legal, and M&A teams on a broad array of US and international matters.  

What you’ll be doing (ie. job duties):

  • Provide advice and counseling on a broad spectrum of issues regarding benefit plans and compensation programs, including: legal requirements for health benefits, wellness programs, perks, 401(k) plans, retirement, and the governance, interpretation and application of such plans, including appeals of benefits decisions
  • Perform due diligence and advise on compensation and benefits aspects of M&A projects
  • Provide advice and counsel on legal requirements for stock administration, including updates to equity award agreements and granting equity outside the U.S.
  • Collaborate with cross-functional stakeholders and manage projects with a team-oriented approach
  • Evaluate benefit and compensation practices, policies, and processes to assess and execute priorities, and ensure compliance
  • Draft and review plan documents, summary plan descriptions, and employee communications, and assist with reporting
  • Conduct audits and support other compliance efforts
  • Provide guidance on executive compensation and separation including, Internal Revenue Code (IRC) 409A issues
  • Draft and review incentive compensation plans and templates
  • Monitor legislation, regulations, case law, and government enforcement activities relating to benefits, compensation and disclosure matters, and assist with implementation and ongoing compliance with any new requirement
  • Assist in developing and conducting training and education programs for employees, managers, and the People team
  • Collaborate with local counsel to advise the People team and management on international compensation and benefits issues

What we look for in you (ie. job requirements):

  • Minimum 7 years of relevant law experience
  • Experience with M&A matters required
  • International experience is a plus
  • Strong written and oral communication skills
  • Ability to work effectively and collaboratively within a growing legal team and cross-functionally with members at all levels of the organization
  • Strong interpersonal skills, team-oriented attitude, and superior attention to detail
  • Ability to evaluate risk in light of business and practical considerations and make clear recommendations
  • Ability to balance and prioritize multiple time-sensitive tasks effectively and independently
  • Subject matter expertise in Employee Retirement Income Security Act (ERISA), Health Insurance Portability and Accountability Act (HIPAA), and Patient Protection and Affordable Care Act (PPACA)
  • Subject matter expertise in executive compensation and governance matters
  • Knowledge of relevant securities laws, including Form S-8, Item 402 of Regulation S-K and Form 8-K
  • Knowledge of relevant tax laws, including IRC 409A and 162(m)
  • J.D. degree and membership in at least one state bar
