Contracts Attorney

Reporting to the Business Operations Director, the Contracts Attorney is responsible for supporting all components of the contracting and legal process and ensuring the Business Operations function operates at peak efficiency. They will join a rapidly growing organization and be challenged to understand and operate in a complex and evolving environment, where their skills are required to enable and sustain business growth.


What You Will Do:

  • Review various legal agreements, including SaaS agreements, master service agreements and statements of work, data supplier/data share agreements, NDAs, third party agreements, and others.
  • Draft key contracts on both Company paper and client paper, which include applying company-standard redlines or non-standard redlines to resolve client asks or meet company requirements.
  • Negotiate key terms clients, partners and potential clients and partners to manage complex commercial, data and partnership transactions to closure.
  • Apply business judgment and commercial understanding including to evaluate and balance both legal and business drivers in providing feedback.
  • Work cross functionally, including with the Products, Data, and Commercial teams to quickly become smart on the unique nature of Company’s business and needs as relate to the particular contract and circumstances.
  • Communicate effectively with internal stakeholders, including researching and providing a high volume of responses to manage and prioritize workflow.
  • Maintain and support Standard Operating Procedures, ensuring that all institutional knowledge is properly tracked, deviations are recorded, and a clause library includes standard language and previously agreed upon terms for use in future contracts.
  • Structure and maintain standard form templates, systems, processes and negotiations by creating an informed opinion.
  • Perform special tasks, projects, and assignment administered by Bus Ops leadership as requested, including, but not limited to, process optimization, workflow development, systems implementation, and helping architect long-term and scalable business-minded approach to contracting process.

What You Have Done:

  • JD (law degree) and membership in at least one state bar
  • 3+ years of relevant in-house experience in commercial contracting OR commercial and technology transactions
  • Superior organizational skills and attention to detail
  • Demonstrated ability to rapidly review contracts, form opinions on deviations, and summarize issues for internal stakeholder review.
  • Prior experience in a high-volume environment with skill in organizing resources to appropriate triage multiple high-priority tasks in parallel.
  • Deep business acumen and the ability to work autonomously, with an expertise in understanding and resolving complex business issues under deadline pressure.
  • Excellent verbal and written business communication skills with a penchant for communicating in direct and actionable terms and an ability to recognize and resolve obstacles and challenges early.
  • Preferred, experience in healthcare, data, and/or marketing, and a foundational knowledge of policies and regulations that are of concern to healthcare marketers.
  • Prior experience using Salesforce, JIRA and Agile a plus
