We’re looking for a rockstar Assistant General Counsel or Senior Corporate Counsel in our Atlanta, New York or San Francisco office who has commercial and corporate transactional experience and is eager to work in all areas of in-house practice.

Responsibilities

• Negotiate customer, vendor, partner, and technology agreements
• Provide advice to the business in the areas of corporate, contract, insurance, benefits, employment, and privacy law and be willing to expand practice areas as the business continues to scale
• Support corporate transactions
• Assist with corporate governance and compliance efforts
• Help the company prepare for future growth
• Review, revise and negotiate a wide range of contracts, including customer, consulting, and vendor agreements
• Provides proactive analysis and advise of new laws and regulations that have an operational impact on the business and its product
• Address and respond to privacy questions, including applicable US and international privacy laws and data security
• Help manage intellectual property portfolio
• Ensure full and timely compliance with applicable laws, including review of compliance documents for clarity and suitability
• Respond to employment-related issues, including compliance with US employment laws, immigration/work authorizations, hiring practices and terminations
• Assist with strategic transactions and other matters

Requirements  

• Juris Doctor degree from an ABA Accredited Law School and admission to the bar of employed state
• 4+ years of professional legal experience (law firm experience preferred)
• Experience negotiating customer or vendor contracts in a SaaS or subscription model
• Understanding of global data protection and privacy laws
• Demonstrated business counseling, communications and conflict management skills
• Ability to manage competing priorities in a fast-paced, demanding environment, and ability to exercise sound judgment while working autonomously
• Ability to see the big picture while executing on the appropriate details
• Willingness to learn, strong communication skills, collaborative work style
• Ability to live our core values (Be Human)

Nice to Have

• Experience supporting internal and external examinations and/or audits is preferred
• Legal experience in the health insurance or benefits industry and/or working knowledge of the health insurance business and regulatory principles including insurance licensing or ERISA
• Experience with fast-growth, venture or private equity backed companies
