WHAT YOU'LL DO
- Communicate with clients and assist in closing deals on EquityZen’s innovative marketplace for investments in private technology companies
- Work cross-functionally with deal and legal teams
- Review shareholder equity and option ownership documentation
- Assist with Anti-Money Laundering and Know Your Customer Review
- Interface directly with pre-IPO companies and manage secondary transactions to closing
- Contribute to transaction optimization, and improving our private marketplace
THE RIGHT STUFF
- 2+ years of experience as a paralegal or legal assistant in a transactional group at a law firm; investment bank, hedge fund, PE fund, VC firm, or fintech.
- Strong organizational skills
- Strong communications skills (verbal, listening and written)
- Love for deal-making and deal environment
- Understands time-sensitive deal environment
- Enjoys structured work (such as working from checklists on repeatable tasks)
- Anticipates what should be done next and not just await instructions
- Works hard and smart with attention to detail and relishes working with long, detailed documents
- Familiarity with securities-related filings (including Form 5123 and Form D filings)
- Experience incorporating comments and edits in transaction documents, compiling information packets for regulators and corresponding with state and federal regulators
- Proficient in Microsoft Word (including creating redlines), PowerPoint and Excel
BONUS POINTS
- Experience in private placements, investment funds, capital markets, or FinTech marketplaces
- Prior experience with KYC or AML
- Law degree, J.D. or L.L.M.
- Experience with secondary markets or crowdfunding
- Experience with, or interest in, SQL, Kibana/Elasticsearch
- Licensed New York State notary
