This attorney will be part of the Corporate Transactions unit of the Office of the General Counsel, which advises and supports New York Life Insurance Company and its subsidiaries in connection with a variety of corporate transactions, including both finance and M&A transactions in the life insurance and investment management space. This attorney will have exposure to business and legal executives and will report to the Head of Corporate Transactions in OGC.
What You'll Do:
• Provide legal advice and guidance to the Company's corporate development functions with respect to insurance and investment management M&A transactions, both domestic and in foreign jurisdictions• Support the Company's business units in all aspects of corporate finance transactions, including syndicated credit facilities, surplus notes offerings and the Company's medium term notes and commercial paper programs
Responsibilities include:
o Due diligence
o Drafting and review of transaction documents, including confidentiality agreements, engagement letters, term sheets, letters of intent, definitive agreements, offering memoranda and disclosure documents
o Managing regulatory approval processes
o Closing preparations and post-closing matters
o Coordinating with internal business units and subject matter experts
o Managing outside counsel
o Advising and assisting the head of Corporate Transactions
• Provide advice on various legal and commercial matters.
What You'll Bring:
• JD with a minimum of three (3) years' experience as a corporate attorney, including legal due diligence and familiarity with agreements for corporate finance and M&A transactions, ideally in the financial services industry. New York State Bar preferred. • Familiarity with, and willingness to learn, laws and regulations relating to insurance companies, investment managers and related transactions• Excellent writing and communication skills.• Ability to interact with a broad range of internal and external personnel with diverse expertise and experience and to function independently on appropriate projects.• A growth mindset, commitment to continuous improvement, and willingness to embrace new technologies to advance legal and business objectives.
Pay Transparency
Salary Range: $144,000-$205,500
Overtime eligible: Exempt
Discretionary bonus eligible: Yes
Sales bonus eligible: No
Actual base salary will be determined based on several factors but not limited to individual's experience, skills, qualifications, and job location. Additionally, employees are eligible for an annual discretionary bonus. In addition to base salary, employees may also be eligible to participate in an incentive program.
