Position Title: Assistant General Counsel — Investments
Bessemer Trust is seeking an attorney with asset management experience to join the firm’s Legal Department. The Assistant General Counsel will be supporting an investment platform which consists of registered and private fund vehicles and separately managed accounts for a privately-held wealth management firm. This position is ideal for a motivated attorney who excels in a collaborative, client-centric environment and who has general corporate experience. The ideal candidate will have a working knowledge of matters involving the Investment Advisers Act of 1940, the Investment Company Act of 1940, the Bank Holding Company Act of 1956, the Securities Act of 1933, Securities Exchange Act of 1934, Regulation D, and FINRA Rules. The Assistant General Counsel will also support the firm’s corporate real estate and lease-related initiatives.
Key Responsibilities:
- Provide legal advice and support on all aspects of day-to-day operations and governance for Bessemer Trust’s private and registered funds.
- Provide legal advice and support with respect to Bessemer Trust’s Family Company Advisory services.
- Advise investment teams on legal and regulatory issues relating to trading and operational matters.
- Advise on, review, and oversee the preparation and filing of various regulatory filings and reports (Forms ADV, CRS, Reg D, 13H, 13F) under the Securities Exchange Act of 1934 and the Investment Advisers Act of 1940.
- Draft, review, and negotiate investment-related documents, including non-disclosure agreements, sub-adviser agreements, model provider agreements, mutual fund distribution agreements, limited liability company agreements, offering memoranda, registration statements, 10b5-1 trading plans, private placement agent agreements, and other legal documents.
- Advise on, review, and oversee real estate lease agreements and related property matters, ensuring alignment with Bessemer Trust’s real estate objectives.
- Collaborate with compliance professionals on policies and procedures in core areas of focus.
- Stay current on industry trends, regulations and best practices related to core areas of focus and contribute to regulatory change management efforts.
- Coordinate with external legal counsel and other service providers as necessary.
- Assist with and/or take the lead on special projects and assignments as needed.
Qualifications:
- JD from an accredited law school, and member in good standing of the New York bar required.
- 5+ years of professional experience with 3+ years of experience working with asset management vehicles and products, including alternative and registered investments at a law firm, bank, asset manager or broker-dealer.
- Experience in fund structuring and formation, drafting and reviewing offering documents for alternative and registered funds, as well as advising on issues related to the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, Exchange Act of 1934 and FINRA rules.
- Experience with commercial real estate, negotiating contracts and familiarity with cross-border asset management offerings a plus.
- Excellent analytical, written and oral communication skills; ability to distill complex concepts into discernable terms.
- Prudent and practical judgment and high level of integrity.
- Proactive in approach with ability to collaborate effectively with cross-disciplinary teams; excellent interpersonal and client service skills.
- Ability to handle multiple tasks and prioritize effectively.
- Ability to think strategically and critically to solve issues with innovative solutions, and with the focus and agility to drive execution on key priorities.
The base salary range for this position is $225,000 - $265,000 per year. This range reflects the minimum and maximum base salary we reasonably expect to pay for this role. In addition, this position may be eligible to participate in the relevant business unit’s incentive compensation plan, and other compensation programs as applicable. Eligible employees may participate in a 401(k) program with a generous profit-sharing contribution, medical, prescription dental, and vision coverage; life insurance; disability coverage; paid holidays; vacation; and sick time, subject to plan terms and Company policies.
