The Assistant General Counsel will lead legal and regulatory agendas, manage compliance, provide legal advice, and oversee legal functions for CFC USA Inc, focusing on insurance and regulatory matters.
We’re looking for an experienced Assistant General Counsel (USA) to lead the legal and regulatory agenda for CFC USA Inc, working at the heart of our fast‑growing US business.
Reporting into the Group Legal Director in London, with a close working relationship with senior US leadership, this is a highly visible role that combines hands‑on legal delivery with strategic influence. You’ll act as the primary legal adviser to CFC USA Inc - supporting underwriting, distribution and operational teams, managing regulatory risk, and helping to shape the future of our US platform.

As part of our wider Governance function, you’ll play a critical role in ensuring the US business operates in line with federal and state regulatory expectations, while remaining commercially agile and growth‑focused.

- Act as the primary legal and regulatory adviser for CFC USA Inc, covering US federal and state law, insurance regulation, licensing, NYDFS obligations, data privacy (including CCPA), AI regulation and employment law
- Partner closely with Group Legal and Compliance to ensure policies, controls and escalation processes are aligned with Group risk appetite
- Review, negotiate and manage US‑law governed commercial contracts, including supplier agreements and leases
- Provide legal oversight of fronting arrangements, including contractual management and ongoing regulatory compliance
- Lead regulatory engagement, including liaison with regulators, preparation of filings and returns, and reporting to boards and committees
- Monitor legal and regulatory developments and translate change into practical, business‑ready guidance
- Maintain and develop standard legal templates, including producer agreements, delegated authority and NDA templates
- Support Group Legal on strategic initiatives such as potential M&A, portfolio acquisitions and cross‑border projects
- Work collaboratively across underwriting, operations, compliance and leadership teams to provide clear, pragmatic advice
- In conjunction with Group Legal, provide oversight of relevant legal and compliance matters for CFC Security Inc
About you
You’ll be a senior, commercially minded legal professional who thrives in a fast‑paced, regulated environment.

You’ll bring:
- Extensive in‑house insurance experience, ideally within an MGA or delegated authority model
- Strong knowledge of US admitted and E&S market regulation, licensing and compliance requirements
- Deep understanding of US federal and state legislative and regulatory frameworks
- Experience overseeing both legal and compliance functions within a US insurance business
- The confidence and judgement to advise senior stakeholders and Boards with clarity and credibility
- Experience line‑managing or overseeing a US legal and compliance team
- A collaborative, pragmatic approach, with the ability to balance regulatory rigour and commercial outcomes
