The AVP, Associate General Counsel will have 10-15 years legal experience handling insurance related litigation including contractual disputes, compliance and regulatory matters, and coverage litigation.  A strong litigation background is desired.

This senior counselor is responsible for representing the organization in litigation, while protecting the organization's rights, obligations and privileges and its legal interests by providing expert legal advice on litigation and regulatory enforcement matters.

This is a proven leader who is also responsible for the effective and empowering management of the corporate legal team and the management and monitoring of outside counsel.

Responsibilities

  • Provide sound, timely and business savvy legal counsel to senior management on legal, transactional, and contentious matters affecting Coaction companies
  • Proactive manages and advises on litigation involving the company.
  • Draft and advise on corporate contracts and business agreements.
  • Provides legal advice, guidance, and counsel to business partners on escalated disputes in advance of litigation.
  • Identifies, evaluates, and addresses issues of litigation or regulatory risk.
  • Act as lead counsel and project manager on corporate transactions, including acquisitions, financings, joint ventures and dispositions
  • Supervise and reach favorable resolution on contentious and pre-contentious matters involving corporate, distribution, and reinsurance issues
  • Negotiate significant agreements, including distribution agreements, reinsurance and retrocession policy wordings and information technology arrangements
  • Review and provide legal advice in connection with developing and drafting new insurance products and improving existing products
  • Provide pro-active and preventative counselling to reduce exposure to litigation and other legal risks
  • Researches, analyzes, and interprets proposed and existing laws, statutes, and regulations
  • Develop, implement and embed compliance and ethics policies
  • Effectively manage outside counsel expenditure through advantageous and alternative fee arrangements
  • Monitor legal and regulatory developments; communicate relevant law changes and counsel management regarding changes
  • Provide opinions and prepare position papers on various legal issues and interpretation of contractual provisions.

Qualifications

  • 10-15 years of broad legal experience (preferably a blend of law firm and corporate in-house) working on increasingly more complex legal, transactional and governance matters.
  • Broad and in-depth understanding of commercial Property & Casualty business, as well as knowledge of the insurance business generally
  • Expertise in drafting contracts such as but not limited to MGA/MGU agreements, TPA agreements, vendor agreements, and M&A agreements.
  • Well-honed negotiation, consultative and facilitation skills with the ability to effectively and appropriately interact with internal and external business partners.
  • Excellent verbal and written communication, negotiation and presentation skills
  • Multiple years of experience in effective and empowering management of teams
  • Ability to exercise independent judgment, and to work with and maintain confidential and sensitive information, while also working effectively within a team and collaborating with other attorneys in group
  • Securities law expertise a plus
  • Solutions oriented with strong project management and collaborative skills with colleagues and clients; ability to lead and facilitate projects including multidisciplinary meetings and to resolve and close matters on a timely basis.
  • Excellent analytical and problem-solving skills, with senior level competency in managing ambiguous situations and issues.
  • Proven ability to take a proactive long-term view of business goals and objectives in order to achieve strategic business results.
  • Ability to develop and maintain “trusted advisor” relationships with internal clients, as well as the Board and shareholders
  • Strong interpersonal skills with a collaborative and energetic style
  • Bachelor's degree with JD, and admission to the bar of at least one state.

**This is not a remote position. The role is required to be onsite on our hybrid work schedule in either our NYC or Morristown, NJ office.**

Salary range specific to for this role : $187,595-$264,840 + discretionary incentive bonus + benefits depends on various factors including, without limitation, individual and organizational performance. The offered rate of compensation will be based on individual education, experience, and qualifications.  In addition, employees are eligible for standard benefits package including paid time off, medical, dental and retirement.
