1. About Business Financial Group  

Business Financial Group (BFG) is a U.S.-based, technology-enabled financial services company headquartered in the Atlanta, Georgia metropolitan area.

Founded in 2004, BFG provides accounting, bookkeeping, tax preparation, tax planning, payroll, financial management, and CFO advisory services to businesses across the United States.

BFG is expanding its business through technology-enabled service delivery, strategic partnerships, professional training academies, and talent solutions.

The company is preparing for an external growth-capital raise, with an initial target of approximately US$750,000, subject to financial modeling and capital-structure validation.

We are seeking an experienced Corporate Finance Advisor to work directly with the Founder & CEO to prepare BFG for a professional investor fundraising process.

2. Position Objective  

The advisor will lead the financial planning, valuation analysis, investment preparation, and fundraising-readiness work necessary to support BFG's growth-capital strategy.

The primary objective is to determine BFG's actual capital requirements, develop an investor-grade financial model, establish a defensible valuation framework, and prepare the company for discussions with qualified external investors.

This is a hands-on advisory assignment requiring both strategic financial judgment and the ability to independently develop detailed financial models and investment documentation.

3. Key Responsibilities  

A. Financial Analysis and Growth Modeling

  • Review historical financial statements, including profit and loss statements, balance sheets, and cash flows.

  • Review the company's existing revenue streams, operating expenses, management compensation, debt obligations, and related-party transactions.

  • Develop a fully integrated, monthly, 36-month financial growth model.

  • Prepare Conservative, Base, and Growth scenarios.

  • Model recruitment, employee compensation, marketing investments, technology costs, business expansion, and working-capital requirements.

  • Incorporate the planned growth of BFG's financial services, training academies, staffing business, and partner network.

  • Develop cash-flow forecasts, funding requirements, cash runway, and break-even analysis.

  • Analyze alternative capital-raise amounts of $500,000, $750,000, and $1 million.

  • Identify the minimum capital requirement and appropriate contingency reserves.

B. Debt and Capital Structure Analysis

  • Review the company's existing debt and related-party balances.

  • Assist management in evaluating debt servicing, refinancing, repayment, and restructuring alternatives.

  • Distinguish corporate obligations from founder or legacy-company obligations.

  • Evaluate debt versus equity financing alternatives.

  • Coordinate with qualified U.S. and Indian tax/legal advisors regarding potential corporate restructuring.

  • Provide financial analysis of alternative holding-company and investment structures.

The advisor will not be responsible for issuing legal opinions or making final tax or securities-law determinations.

C. Business Valuation

  • Prepare an independent valuation analysis using appropriate methodologies.

  • Review comparable companies and relevant private-market transactions.

  • Assess earnings-based, revenue-based, and discounted cash-flow valuation approaches where appropriate.

  • Evaluate potential pre-money and post-money valuations.

  • Model investor ownership and founder dilution under alternative financing scenarios.

  • Recommend a supportable valuation range for management consideration.

D. Investor Documentation

Prepare or coordinate the financial content of:

  • Investor business plan.

  • Investor pitch presentation.

  • Executive investment summary.

  • Detailed financial projections.

  • Sources and uses of funds.

  • Capitalization and ownership scenarios.

  • Investor financial information package.

  • Financial due-diligence checklist.

  • Investor frequently asked questions and financial responses.

All documents must be professionally prepared for a U.S. investor audience, with consistent assumptions and clearly supportable financial information.

E. Investor Research and Fundraising Preparation

  • Help define BFG's ideal investor profile.

  • Identify appropriate investor categories, including angel investors, family offices, strategic investors, and suitable private investment firms.

  • Develop criteria for evaluating potential investors.

  • Guide the development of a qualified external investor database.

  • Help management prioritize potential investors by industry fit, investment capacity, investment stage, and strategic alignment.

  • Assist in preparing investor meeting materials and responses to financial questions.

  • Support management during investor due diligence and investment discussions.

Any investor solicitation, securities placement, or transaction-based compensation arrangement must be separately reviewed for compliance with applicable U.S. securities laws. The role does not authorize the advisor to act as an unregistered securities broker.

F. Financial Reporting and Investor Governance

  • Recommend investor-grade monthly and quarterly financial reporting standards.

  • Assist with financial KPI design and budget-versus-actual reporting.

  • Recommend capital deployment monitoring and investor reporting dashboards.

  • Help establish financial reporting requirements for future investors.

  • Coordinate with management and external advisors regarding investor governance and financial disclosure requirements.

4. Required Qualifications  
  • Chartered Accountant (CA), CFA, MBA in Finance, or equivalent advanced financial qualification.

  • Minimum 8 years of relevant experience, preferably 10–15 years.

  • Demonstrated experience in corporate finance, investment banking, transaction advisory, business valuation, private equity advisory, or capital raising.

  • Strong expertise in integrated financial modeling, valuation, and cash-flow forecasting.

  • Experience preparing investment presentations, financial projections, and due-diligence materials.

  • Understanding of U.S. business financial statements and investor expectations.

  • Excellent Microsoft Excel and PowerPoint skills.

  • Strong written and spoken English.

  • Ability to work independently and communicate directly with U.S.-based executive leadership.

  • Willingness to participate in meetings during overlapping U.S. business hours.

5. Strongly Preferred Experience  
  • Previous experience supporting U.S.-based privately held businesses.

  • Participation in successful fundraising transactions in the US$500,000–US$5 million range.

  • Experience with recurring-revenue financial or professional services companies.

  • Experience in accounting, tax, payroll, financial technology, business process outsourcing, or professional education businesses.

  • Prior employment with a Big Four transaction advisory practice, boutique investment bank, valuation firm, private equity advisory practice, or established corporate finance consultancy.

  • Experience with cross-border U.S.–India business structures.

  • Ability to provide anonymized examples of financial models and investor materials prepared previously.

The advisor must provide editable source files, assumptions, supporting calculations, and documentation. All work products developed for BFG under the engagement will belong to BFG, subject to the final consulting agreement.

7. Success Measures  

The engagement will be evaluated based on:

  • Accuracy, completeness, and usability of the financial model.

  • Clear determination of capital requirements and cash-flow risks.

  • Quality and defensibility of valuation analysis.

  • Investor readiness of financial presentations and supporting documents.

  • Timely delivery against agreed milestones.

  • Ability to identify financial risks and provide practical solutions.

  • Quality of communication, responsiveness, and collaboration with management.

  • Successful preparation of BFG for professional investor discussions.

Fundraising success is not measured solely by whether capital is raised within the first 90 days, because investment timing and investor decisions are not fully within the advisor's control.

8. Engagement and Compensation  

BFG prefers an initial fixed-fee, milestone-based consulting arrangement.

Candidates should submit a proposal including:

  • Proposed total professional fee.

  • Deliverables included in the fee.

  • Milestone-based payment schedule.

  • Estimated project timeline.

  • Weekly availability.

  • Relevant transaction experience.

  • References or examples of comparable assignments.

  • Optional ongoing advisory support after the initial engagement.

Any additional compensation linked to successfully raising investment capital will require separate legal review and written approval.
