Role Overview:
We are seeking an experienced Commercial Counsel to join our legal team and serve as a strategic business partner supporting the company's commercial transactions, contracting activities, and regulatory compliance matters. This role will be responsible for proactively providing practical legal advice that balances risk mitigation and commercial objectives, enabling the company to achieve its growth and innovation goals. The successful candidate will draft, review, and negotiate a wide range of complex commercial agreements, with a strong focus on SaaS contracts and ensuring compliance with healthcare, data privacy, and insurance regulations.
Responsibilities:
- Proactively partner with cross-functional teams to understand business needs and provide strategic legal guidance on commercial contracts, regulatory matters, and risk mitigation strategies.
- Draft, review, and negotiate complex commercial agreements, including SaaS agreements, licensing agreements, vendor agreements, partnerships, and other commercial transactions.
- Ensure compliance with applicable laws and regulations, particularly in the areas of healthcare, data privacy (e.g., HIPAA, CCPA), and insurance licensing requirements.
- Collaborate closely with Sales, Customer Success, Product, and Regulatory teams to align legal strategies with business objectives and drive growth initiatives.
- Manage and prioritize a high volume of commercial contract work, ensuring timely and efficient execution through strong project management skills.
- Stay up-to-date with legal developments, industry trends, and best practices related to commercial contracting, healthcare, privacy laws, and insurance regulations.
- Provide training and guidance to non-legal staff on contract management processes, policies, and best practices.
- Lead or participate in projects to improve internal processes and increase the efficiency and scalability of commercial legal support.
- Demonstrate creative problem-solving abilities to navigate ambiguity and develop innovative solutions to complex legal and regulatory challenges in a rapidly evolving industry.
Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school and membership in good standing with the state bar.
- Minimum of 5-8 years of combined experience in a reputable law firm (big law experience preferred) and in-house legal department, with a focus on commercial transactions, contracts, and regulatory compliance in the insurance and healthcare industries.
- Significant experience drafting, reviewing, and negotiating SaaS agreements, licensing agreements, and other technology-related contracts.
- Strong knowledge and understanding of healthcare and privacy laws (e.g., HIPAA, CCPA), as well as insurance regulations and licensing requirements.
- Excellent drafting, negotiation, and analytical skills, with the ability to understand complex legal, regulatory, and business issues.
- Outstanding communication and interpersonal skills, with the ability to explain legal concepts to non-legal stakeholders and work collaboratively across cross-functional teams.
- Proven ability to work in a fast-paced, dynamic environment, manage multiple priorities effectively, and adapt to changing business needs through strong project management skills.
- Collaborative team player with a solutions-oriented mindset and a consultative approach.
- Demonstrated ability to be a strategic business partner, providing practical legal advice that enables business growth while mitigating risks.
- Excellent judgment and decision-making abilities to navigate ambiguity and develop creative solutions to complex challenges.
- A strong sense of ownership, willingness to take initiative, and a proactive approach to identifying and addressing legal and regulatory issues.
- An open and curious mindset about the evolving insurance and healthcare industries.
The salary range for New York based candidates for this role is $165,000-$183,000. We use a location factor to adjust this range for candidates that are located outside of geographic region of our New York office. Placement within the salary band is determined based on experience.
