About the role:
Stord is seeking a Corporate Counsel to support Stord’s commercial contracting growth as the company scales its sales pipeline by over 50%. This role will primarily focus on sales, partnerships, and commercial relationships, including reviewing, advising, and negotiating customer agreements, partner agreements, vendor contracts, amendments, and NDAs. This role will leverage AI tools alongside strong legal judgment to drive efficiency. Critical skills for this role include agility, comfort operating in ambiguity, attention to detail, and the ability to be resourceful while managing multiple initiatives.
This role will work within Stord Legal and directly with the business team to understand objectives and develop business-centric strategies that mitigate risk while enabling the business to move quickly. This role will assist in providing day-to-day advice to the business team on a range of matters, including contract interpretation, strategic advice, and general inquiries. Stord is looking for a self-starter with a bias for action who thrives in a high-growth environment.

What You'll Do:

  • Partner with the Sales and Partnerships teams to review, negotiate, and execute commercial contracts, including customer agreements, reseller and referral agreements, strategic partnership agreements, and vendor contracts, while collaborating cross-functionally with the Operations, Finance, and Product teams.
  • Own and continuously refine Stord's contract playbooks and negotiation guardrails, including fallback positions, escalation thresholds, and approval authority, to drive consistency and speed across the sales pipeline.
  • Partner with Sales Operations and other cross-functional stakeholders to help build out Stord's contract management infrastructure as it scales, including template libraries, workflow tools, and process documentation.
  • Support and guide the sales team and various business teams on deal structure, contract negotiations, and risk assessment, balancing legal risk with business objectives.
  • Serve as a legal point of contact for the Sales and Partnerships teams, enabling deal velocity while managing risk.
  • Identify opportunities to improve the contract management process to drive operational efficiencies and process standardization throughout Stord.
  • Address internal inquiries regarding contractual questions, obligations, and compliance. 
  • Stay up to date on relevant industry, commercial, intellectual property, privacy and compliance issues.

Basic Qualifications:

  • 3+ years of experience with commercial transaction experience in the ecommerce or logistics space
  • Experience negotiating, drafting, and solving issues for various types of commercial contracts, including those relating to warehousing and logistics, with demonstrated business judgment and ability to provide practical, risk-balanced advice.
  • Proven ability to ramp quickly and take ownership of a contract portfolio in a fast-paced, high-volume environment.
  • Ability to operate independently in a fast-paced environment and comfort with legal technology, including AI-assisted contract review tools and CLM platforms (Ironclad experience a plus)
  • J.D. from an accredited law school and membership in at least one state bar required.

Preferred Qualifications

  • Excellent communication and interpersonal skills, both written and verbal, with a collaborative approach 
  • Exceptional organizational skills, attention to detail, and the ability to work independently to prioritize work, manage multiple projects, and meet deadlines.
  • Comfort building and refining process and structure where none fully exists yet, rather than relying solely on an established system.
  • Logistics experience; in-house experience.
  • Experience with warehouse liens, bailment law, or UCC Article 7 (warehouse receipts and documents of title).
  • Familiarity with FMCSA broker regulations, transportation law, or logistics compliance requirements.
  • Experience with data privacy agreements, technology contracts, or software licensing arrangements.
