Position Summary: 

Corporate Counsel for the Company, operating under the direction and supervision of the Assistant General Counsel - Corporate. This role focuses on corporate and commercial contracts; portfolio acquisitions—including contract review and negotiation related to the acquisition and sale of charged-off receivables, asset pools, or similar portfolios; as well as business acquisitions, business development, finance, real estate transactions, and related transactional matters.

Professional Experience/Qualifications:

  • Juris Doctor Degree required.
  • Minimum of 10 to 15 years of post-J.D. legal experience required in a sophisticated corporate law firm’s practice and/or in-house counsel practice.
  • Financial services experience, with a focus on lending models, account origination, securitization, and chain of title experience.
  • Asset sales or asset-backed securities experience.
  • Preferred experience with portfolio acquisitions, including contract review and negotiation specific to the acquisition and sale of charged-off receivables, asset pools, or similar portfolios.
  • Alternatively, strong experience in general contract review and negotiation will be considered.
  • Legal experience should include acting as both lead and supporting counsel in contract review and negotiation, mergers and acquisition (M&A) transactions, securities offerings, new business entity formation and organization, corporate restructurings, business development work, dispute resolution, and domestic and international business transactions.
  • Strong attention to detail required.
  • Additional non-legal business and management experience preferred but not required.
  • Familiarity with U.S. and state corporate laws.

 

Key Responsibilities (other duties may be assigned):

  • Draft, review, and negotiate corporate and commercial agreements on behalf of the Company and its subsidiaries.
  • Draft, review, and negotiate agreements related to business acquisitions, including asset purchase agreements, stock purchase agreements, agreements related to the employment of key personnel of acquired businesses, agreements related to the engagement of investment bankers and other outside advisors, and related agreements and documents.
  • Review, analysis, negotiation, and revisions to purchase and sale agreements related to charged-off accounts and other portfolio acquisitions.
  • Work directly with officers and management of the Company’s subsidiaries to provide transactional legal advice.
  • Provide legal advice related to operational issues impacting Company subsidiaries.
  • Oversee due diligence and document production processes in connection with business acquisitions.
  • Provide legal assistance in connection with financial transactions and securities offerings.
  • Provide legal advice in connection with the organization of new Company subsidiaries.
  • Review and negotiate contracts related to the purchase and sale of real estate.
  • Provide support concerning the formulation, interpretation, and administration of corporate policies and procedures.
  • Oversee the work of outside transactional counsel.
  • Responsible for ensuring compliance with applicable laws, regulations, and company policies across areas of organizational responsibility.

 

Salary Range:

$118,000.00 - $188,000.00

Actual compensation is influenced by a wide array of factors including but not limited to skill set, level of experience, specific working location and market position. This posted salary range is a good faith and reasonable estimate, and PRA Group reserves the right to adjust this range depending on the qualifications and location of the selected candidate.  In addition to base salary, PRA may offer additional benefits to include performance based bonus programs and/or equity programs depending on the position.  PRA offers paid time off, medical, dental, vision, 401k match, life insurance, and other benefits to assist with the physical and mental wellbeing of our employees.
