Exus Renewables North America is a next-generation Independent Power Producer that develops, owns, and operates renewable energy assets (Wind, Solar and Battery Storage) while providing world class asset management services for over 5 GW of renewable energy assets to third parties. Exus is seeking a Corporate Paralegal that will be responsible for handling a broad range of corporate and transactional legal matters, including but not limited to corporate governance, entity formation & management, organization & management of document repository, contract compliance, assistance with deliverables for project financings, and reviewing NDAs.
Please note: this is a fully onsite role with 4 days in office, 1 day remote, with reasonable flexibility in our downtown NYC office. Our NYC office is in an ideal location in midtown, overlooking Bryant Park and the New York Public Library, in close proximity Grand Central Station.

Key Responsibilities:
- Prepare and maintain corporate records, including board resolutions, meeting minutes, bylaws, and charters.
- Assist with the formation, dissolution, and maintenance of subsidiaries and legal entities and updating of corporate structure chart.
- Manage and update the corporate entity management system.
- Assistance with preparation of real estate documents, including, but not limited to leases, easements, and Memorandums to record.
- Assist in drafting, reviewing, and organizing contracts, including NDAs, vendor agreements, and customer agreements.
- Coordinate and assist with renewable project acquisitions, project financings, and other corporate transactions, including compiling KYC materials and drafting officer certificates, resolutions, and other closing deliverables.
- Maintain detailed records and organize project files.
Qualifications:
- Associate degree required in paralegal studies or related field; bachelor’s preferred.
- Paralegal certification from an ABA-approved program preferred.
- 3+ years’ of corporate paralegal experience required, preferably in a corporate legal department or law firm. Prior renewable energy environment highly preferred.
- Strong understanding of corporate governance and legal terminology.
- Ability to handle sensitive information with discretion.
- Renewable energy background a plus but not required.
- Notary Public designation preferred.
