We are looking for a commercially minded attorney who can function as a genuine business partner across the company, equally comfortable drafting complex technology agreements and advising on governance matters as they are explaining legal risk in plain language to non-lawyers.
This New York-based role reports to the Chief Governance Officer/General Counsel and requires a New York-licensed attorney with 3-5 years of experience in commercial transactions, technology agreements, with demonstrated ability to own a high volume of diverse matters independently, exercise sound legal judgement in a fast-moving environment, and provide cross-functional legal support as a trusted advisor who understands commercial objectives as clearly as legal risk and builds credibility across the business through the quality of their counsel.
What You’ll Do:
Provide day-to-day support to the company’s senior legal personnel as well as our GTM, Information Security, R&D, People Team, and more. Prepare, analyze, and counsel on a wide range of commercial agreements, including technology licensing, intellectual property, marketing support, and customer procurement documents (including government, defense and defense primes). Collaborate with various stakeholders to build out nTop’s corporate governance structure, contribute to the improvement of legal processes, and advise on a wide range of issues specific to a fast-paced organization. This role is an opportunity to grow your experience by working with a wide array of company stakeholders on various, complex and critical legal issues.
Responsibilities:
- Develop, improve and implement ongoing and new internal legal processes across the organization
- Track, prioritize and manage all incoming requests to the legal team.
- Advise teams across nTop, including Sales, Customer Success, Marketing, HR, on legal risk and business decisions.
- Review, draft and manage NDAs, license agreements, customer onboarding and procurement documents and other vendor agreements.
- Collaborate and communicate regularly with internal stakeholders.
- Track regulatory developments and provide regular updates to senior members of the legal team to effectively manage risk.
- Develop and maintain expert and current knowledge on new developments and legal guidance relevant to our business, product and technology.
- As a legal generalist, assist with general administrative, commercial, risk management, HR matters and special projects as needed.
Required Experience:
- J.D. degree from an ABA accredited law school, preferably with a strong academic record.
- Current license to practice law in the state of New York, or ability to practice as in-house counsel in New York.
- 3-5 years of relevant legal experience, including law firms advising fast-growing clients or in-house at a technology or an engineering company, etc.).
- Demonstrated ability to manage commercial matters end-to-end and independently, including coordinating across internal functions without close supervision.
- Experience negotiating software and technology sales transactions, business development, professional services, and procurement transactions, including inbound and outbound technology licensing.
- Process-oriented and organized, with a track record of managing a high volume workload without close supervision.
- Able to communicate complex legal matters clearly and concisely to non-legal stakeholders at all levels, including senior leadership.
- Strong business acumen with an understanding of the relationship between legal and business risks.
- Excellent verbal and written communication skills, with the ability to adapt quickly as business needs and priorities evolve.
- Experience with Microsoft Office, Google Suite & Adobe.
Preferred:
- Experience in defense tech or gov tech fields.
- Experience with contract management, corporate governance, information security, and compliance.
- Experience with legal research and contract management software is a plus.
- Familiarity with AI tools (Claude as well as specialized legal AI tools) and automation in a legal workflow context
