We are seeking an experienced C&I Finance Attorney with 3+ years of experience in commercial and industrial transactions, asset-based lending, leasing, and commercial finance. This role offers the opportunity to work on complex deals and provide strategic counsel to a diverse client base. You will serve as a primary point of contact for institutional lenders, regional banks, and corporate borrowers, managing complex C&I transactions from initial term sheet to post-closing compliance.
• Prepare and negotiate purchase and sale agreements, commercial leases, easements, and related real property agreements.
• Draft, review, and negotiate financing documents, including term loans, revolving credit facilities, security agreements (UCC filings), guarantees, and intercreditor agreements.
• Draft, review, and negotiate purchase/sale agreements and joint venture agreements.
• Manage due diligence, including title, survey, and lease review, as well as collateral matters for C&I loans (corporate structure, lien searches).
• Manage and coordinate all aspects of C&I commercial finance closings.
