WHAT YOU’LL DO

  • Propose and/or consult on transaction structures and the tax consequences of specific transactions
  • Coordinate and manage outside service providers on tax due diligence engagements and make presentations and recommendations to management on ways to minimize risks identified
  • Consult with the internal integration team on the post-close integration of tax activities and responsibilities
  • Assist with various special projects, including international tax issues for an outbound US company, non-US income tax audit support, transfer pricing, and legal entity rationalization
  • Acting as a primary tax point of contact for acquisitions, dispositions and corporate restructurings, including due diligence, negotiation, structuring and post-close integration
  • Advising, coordinating and problem-solving across a multi-functional M&A team, including Corporate Development, Legal, HR, Accounting, Finance and business teams to achieve complex project goals
  • Coordinating communications with business teams and internal tax functional subject matter experts
  • Researching and documenting domestic and international tax issues, including coordination with external advisors and support financial modeling and presentations of tax impacts of transactional planning
  • Providing technical advice/information related to transactions to other members of the tax team
  • Implementing and executing organizational processes to help the tax team optimize post-closing compliance and integration

REQUIREMENTS

  • Experience working with acquisitions and corporate transactions including due diligence
  • Strong capabilities to think strategically and analytically, identify issues and opportunities, solve problems
  • Ability to practically apply tax knowledge to produce quantitative models, well-supported tax positions and sound business-oriented tax advice
  • Effective organizational, project management skills and ability to initiate and run projects independently
  • Effective written and verbal communications skills at both tax technical and non-technical business levels
  • Proficient in MS-Word/Excel/PowerPoint
  • BA/BS preferably in Accounting
  • 7+ years of corporate income tax experience
  • MS Tax or JD/LLM Tax preferred
  • CPA preferred
