About This Role

    We’re looking for an experienced attorney to lead and guide on all legal matters across corporate governance, commercial, risk and compliance matters.  You’ll be a member of our dynamic operations team and report to our VP Strategic Finance and Rev Ops, managing all legal matters and driving our commercial contracting process. The ideal candidate must have substantial hands-on experience providing legal advice and counseling on varied commercial transactions directly to the business, and will work cross-functionally with the operations, finance, sales, technology and product teams. 

What You'll Do

  • Provide legal advice and guidance on corporate governance, contractual matters and regulatory compliance; Ensure compliance with relevant regulations and laws

  • Review, draft, and negotiate contracts, agreements, and legal documents with clients, internal employees, vendors, and other parties

  • Assist with corporate transactions, including fundraising, mergers and acquisitions, and strategic partnerships

  • Counsel Prizeout’s product team on a range of issues including data and privacy compliance, commercial contracts, terms and conditions, privacy policies, consumer and financial regulatory compliance, go-to-market strategy, risk and marketing

  • Oversee various legal aspects of corporate governance, including board and shareholder matters, agendas, minutes, consents and resolutions, as well as equity compensation matters, intellectual property protection, and data and privacy law compliance

  • Collaborate with and manage outside counsel on specialized legal matters, such as intellectual property, human resources and employment matters

  • Draft and update template agreements and corporate documents, corporate and information security policies and procedures

  • Represent the company in legal proceedings, negotiations, and meetings with external parties

  • Advise on employment matters as they arise, ensuring compliance with applicable law

  • Maintain organized and up-to-date records of all legal records, documents and correspondence, including enhancing the legal team’s processes and compliance frameworks

What We're Looking For

  • JD from a top law school and active member of the NY State Bar in good standing

  • 5+ years of experience with a strong primary background in commercial / technology transactions with secondary experience in privacy law; Fintech experience is a plus

  • Corporate law, contract negotiation, and regulatory compliance is also preferable

  • Proven ability to build and maintain positive relationships with internal teams, external clients, and outside counsel

  • Expertise in negotiating, drafting, and modifying key terms of strategic commercial agreements

  • Practical, solution-oriented legal approach with a talent for identifying creative and effective solutions to business challenges

  • Ability to communicate complex legal concepts effectively to non-legal stakeholders

  • Excellent ability to operate and communicate remotely
  • Exceptional judgment, responsiveness and the ability to work independently, prioritizing tasks and meeting tight deadlines with minimal supervision

  • Ability to thrive in a dynamic, fast-paced, collaborative, and high-growth environment

  • Strong team player with excellent communication skills and a proactive, hands-on approach

Please Note

  • This role can be completed remotely (CST/EST hours), with travel to the NYC office for training and periodic meetings.

  • Must be authorized to work for any employer in the U.S. indefinitely. We are unable to sponsor or take over sponsorship of an employment visa at this time.

  •  

    The expected salary range for this position is $125,000 - $175,000 (based on experience and location), plus an equity component.
