Support attorneys and Chief Technology and IP Counsel on IT transactional contracts and M&A due diligence. Maintain IT contract templates, assist drafting/review/negotiation of software, data, SaaS, hosting and other technology agreements, and review vendor/customer contracts for transferability, change-of-control, and IP issues.
The IT Contract Paralegal will work closely with attorneys and the Chief Technology and IP Counsel. This position offers an exciting opportunity to gain hands-on experience in IT transactional contracts and M&A due diligence, contributing to the success of our firm's various business ventures.
Responsibilities- Maintaining of the IT related (e.g., software, data, technology development services) contract templates for the Firm’s various businesses
- Assist attorneys with drafting, review and negotiations of various technology related agreements, including software and data licenses, services, SaaS, confidentiality, trading systems, FIX connectivity, API implementation, hosting, outsourcing, maintenance, consulting, research distribution and other agreements
- Assisting with IT-related due diligence in M&A transactions, including reviewing, summarizing, and analyzing vendor/customer contracts for transferability, change of control, and IP ownership issues.
- Paralegal Certification and/or Bachelor’s degree. If you are a law school student, you should have completed at least two (2) full years of law school.
- Motivated and detail-oriented self-starter who is interested in entering IT transactional contracts field
- Demonstrated experience in M&A due diligence and closing processes
- Superior organizational skills are helpful for this position as it includes interacting with internal clients, counsel and others in connection with its duties
- Previous financial industry experience is a plus
- Follow-up and strong communication skills are critical
- A successful candidate should be able to act on detailed instructions, be organized and should demonstrate good judgment and ability to maintain confidentiality
