ACT is looking for a highly motivated attorney to join a growing legal team in its NYC office with a focus on contractual, regulatory, governance and general corporate matters.  You will advise and work on a variety of transactions, commercial issues, and other matters, interacting directly with management, members of the business team and commercial counterparties.

  • Draft and negotiate commercial agreements (both domestic and international) to meet business and legal requirements.
  • Negotiate with worldwide customers, partners, and suppliers.
  • Collaborate with sales, finance, risk, compliance, and other departments to analyze business, regulatory, and legal contract terms; aid with transaction structuring and suggestions for mitigating legal and financial risk.
  • Assist in the management of contract documentation flow, including reviews, approvals, reporting, and archiving, consistent with internal processes.
  • Actively counsel and periodically provide training for the senior sales, risk, compliance, operations, and finance staff members on commercial law, key regulations, or significant legal developments.
  • Develop creative and compliant solutions to resolve complicated business challenges and customer disputes.
  • Aid with litigations, investigations, claims, or queries, as needed.
  • Develop and maintain an understanding of evolving relevant areas of law and regulation, including commercial and competition laws, licensing issues, and regulatory matters, to identify potential impacts on the business.
  • Liaise with management, staff, customers, suppliers, attorneys, public officials, etc.
  • Proactively support the legal team on a wide range of issues, such as real estate, IP, privacy, employment, and corporate governance issues, as needed.
Your Expertise: 

To be successful in this role, we are looking for candidates with the following qualifications and attributes:

  • 2-4 years of experience in a law firm and/or as in-house counsel.
  • Knowledge of corporate and commercial law is required; knowledge of regulations related to trading and financial markets is preferable.
  • Advanced legal drafting and analytical skills; strong organizational skills, research, and document review.
  • Ambitious, pro-active, flexible, fast-paced, and responsible lawyer with commercial sense.
  • Resourcefulness and the ability to solve problems, including non-traditional or undefined problems, creatively and analytically.
  • Ability to manage and respond to a high volume of diverse requests.
  • Ability to effectively and professionally communicate with others at all levels, including external written and verbal communications with third-parties, regulatory agencies, and outside counsel.
  • Ability to communicate prioritization and deadlines with internal and external stakeholders, and build constructive, high-trust relationships across teams and functions.
  • Sound judgment and composure in high-pressure situations; display discretion and integrity in all interactions.
  • Environmental commodities experience a plus.
  • Experience using legal AI tools is a plus.

In this role, your impact will be visible in: 

  • Juris Doctorate (J.D.) degree from a nationally recognized law school.
  • Admitted to the Bar of New York, or at least one state, and eligible for admission to the New York Bar as in-house counsel.

The base pay range for this position is $185k-$235k annually + discretionary bonus; however, base pay offered may vary depending on location, job-related knowledge, skills, and experience. The base pay is just one component of the total competitive compensation package for employees.
