We are seeking an experienced Corporate Counsel (Director level) to join our U.S. legal team. The ideal candidate will bring deep expertise in capital markets, complex commercial transactions, and corporate governance. This individual will play a critical role in supporting the company’s business operations, strategic initiatives, and growth objectives by providing practical, business-oriented legal guidance across a broad range of corporate matters.
What You'll Do
- Provide expert advice on a range of capital markets transactions in jurisdictions around the globe, including debt financings, loan origination partnerships, forward flows, stablecoin and crypto denominated facilities and other asset-based financings
- Draft, review, and negotiate a wide range of legal documents, including commercial contracts
- Assist with corporate governance matters, board management, and ensure compliance with all corporate foundational documents
- Provide counsel and assistance with equity management (e.g. administration of cap table and employee options)
- Serve as a key legal advisor on major business transactions, including fundraising rounds and joint ventures
- Oversee due diligence processes and provide guidance on legal implications of business decisions
- Collaborate closely with Finance, Capital Markets, Product and other cross-functional teams to support business objectives and mitigate legal risks
- Develop and implement policies and procedures to ensure the legal department operates efficiently
What You'll Need
- Juris Doctor (JD) degree from an accredited law school.
- Admission to practice law in at least one U.S. state.
- 6+ years of legal experience relevant to the role in a law firm or corporate setting.
- Proven track record of handling complex commercial transactions
- Strong background in capital markets and corporate governance
- Excellent analytical, negotiation, and communication skills
- Ability to work independently and manage multiple priorities in a fast-paced international environment
- In-house experience in FinTech and/or working with emerging markets is a plus.
