The Role
We are seeking a Corporate Counsel to join our growing Legal Team! You will help us draft and negotiate a variety of business agreements while serving as a trusted legal advisor and protecting the company against risk. You will play a critical cross-functional role in supporting internal stakeholders such as Commercial, Information Security, Product, Finance, Marketing and People. The ideal candidate must be able to handle technology contract negotiations single-handedly from redlines to execution and work independently with minimal oversight.
Responsibilities
- Review, draft and negotiate a wide variety of customer and vendor SaaS agreements
- Work with our Commercial team to develop best practices for client contracting
- Consult and assist with a variety of corporate legal processes (e.g. labor and employment, regulatory compliance, product, IP, etc.)
- Anticipate and guard company against legal risks
- Additional responsibilities may include: drafting/updating form agreements; training team members on privacy & security law compliance; management of online terms of use & privacy policy; tracking contract review requests and agreed upon business terms in executed agreements; and working with and managing outside counsel.
Requirements
- A JD degree from a top law school and 4+ years of law firm and/or in-house legal experience working with technical teams
- Excellent experience and skills with negotiating SaaS and data security agreements
- Demonstrated understanding of healthcare regulations, including but not limited to HIPAA and Anti-Kickback regulations
- Demonstrated understanding of TCPA and PCI compliance
- Knowledge of data privacy and ideally CIPP certified; experience drafting and negotiating data security and data privacy contract exhibits, with a solid understanding of state and federal data privacy and data protection laws and information security requirements (e.g., SOC 2, ISO 27000, and PCI-DSS).
- Highly organized and proactive with attention to detail and accuracy
- Strong communication, analytical, and problem-solving skills
- Cross collaborative - both internally across the organization and externally
