Who You Are
Justworks is looking to add a dynamic lawyer to the team as Director, Corp. & Securities Counsel to help lead the Company’s public company readiness, reporting to the General Counsel. We are seeking a highly motivated, engaging lawyer with public company and capital markets experience. You will lead the securities law compliance function, advance our corporate governance work and prepare SEC filings. This role will involve working with people in different levels of the organization, formalizing processes and improving the compliance program.

- Work with other Justworks teams, including finance, accounting, internal audit relating to various legal and compliance matters
- Prepare and manage the Company’s SEC filings and other public disclosure documents, including our S-1, 10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 reports and other SEC-related documents, as required
- Advise on capital markets transactions (debt, equity financing, follow-on equity offerings) as well as other strategic transactions, including M&A opportunities
- Oversee and provide support to the Board of Directors and its Committees with respect to fiduciary duties, corporate governance, and policies
- Lead the Company’s compliance program with respect to corporate-level policies including Code of Ethics, insider trading, anti-bribery and corruption, sanctions, and Sarbanes-Oxley (SOX) compliance
- Assist with preparation of Board and Committee meetings and annual stockholder meetings
- Ensure compliance with SEC and stock market listing rules, where applicable
- Serve as the Legal department’s business partner to the Company’s Finance, Internal Audit, Investor Relations, and Communications functions
- Work closely with the heads of the above teams to draft and review earnings releases, press releases, shareholder and investor communications, and ensure compliance with applicable securities laws
- Securities law disclosure review and advice (e.g., press and earnings releases, investor relations presentations, website disclosures, Regulation G, Regulation FD matters)
- Working with outside counsel and various agencies and authorities with respect to entity filings, governance and maintenance
- Support the VP, General Counsel in advising the Board of Directors on corporate governance and improving Board processes and practices, including the preparation of Board materials, minutes, and governance policy updates
- Monitor and analyze regulatory developments and best practices in securities and corporate governance areas and drive training and employee education, as needed
- Aid in the drafting and review of a wide variety of complex commercial contracts
- Assist VP, General Counsel with various legal matters and perform other tasks as assigned from time to time
- Work on complex issues where analysis of situations or data requires an in-depth knowledge of the Company
- Regularly interact with executives and senior managers in connection matters of significance to the organization
- Work closely with and manage outside counsel relating to various matters
- Help drive compliance program awareness and handle other related responsibilities
- Other duties as needed based on department and/or organizational needs

Qualifications
Education & Experience:
- JD degree from an accredited law school and admitted to New York bar, or qualified as an in-house lawyer
- A minimum of 8 years of substantive legal experience in capital markets, public company governance, and/or securities law with a corporate legal department and/or a nationally recognized law firm
- Must possess a superior knowledge and application of contract and business law with strong legal analysis skills
- Sound business judgment in managing contractual risk and exposure
- Committed to being a legal business partner to internal clients
- Government experience, particularly at the SEC, could also be a plus
- Experience guiding a company through the IPO / public listing process a plus
- Familiarity with employment law matters a plus
- Experience with Workiva and/or Intelligize a plus
- Compliance certification (e.g., CCEP) and/or Six Sigma training a plus
