Primary Purpose: Provide legal counsel to internal business customers, including senior management, in a wide variety of areas, with a focus on securities law, corporate governance, capital markets and financing transactions, compliance, and executive compensation/benefits.

Securities Law
- Manage all legal aspects of the company’s obligations as a publicly listed company, including drafting and review of company’s 1934 Act filings: Proxy Statement (requiring familiarity with Item 402 of Regulation S-K), Forms 10-K, 10-Q, and 8-K, Section 16 filings/compliance
- Provide counsel regarding other SEC rules and requirements and New York Stock Exchange compliance
- Advise on insider trading restrictions and manage insider trading compliance program
Corporate Governance
- Participate in preparation for Board of Directors and Stockholders meetings, including preparation and/or review of resolutions, minutes, meeting agendas, etc.
- Manage all other corporate governance requirements and relevant corporate policies and processes, including ethics and compliance policies and processes
Executive Compensation/Benefits
- Partner with Human Resources department on compliance and legal administration for compensation and benefits plans
- Review and advise on stock incentive plan and related legal documents
- Assist with other aspects of executive compensation legal review and document preparation
Corporate Law
- Advise Treasury, Investor Relations, and Financial Reporting departments on legal risks on a wide range of issues related to financing transactions (credit and capital markets), Dodd Frank, Regulation FD, Regulation G, Sarbanes-Oxley and other legal requirements
Updates re Applicable Law
- Monitor changes in applicable law in all of the above areas
- Prepare updates and hold training sessions with relevant business partners to keep them abreast of these developments
- Implement necessary changes in policies or business processes to comply with changes in laws
The accomplished individual will possess...
- Juris Doctorate
- Admission and member in good standing of the bar of New York
- 5-7+ years of experience in legal practice at a high-quality law firm, in-house legal position or both
- Exceptional organizational and project management skills with strong attention to detail
- Ability and desire to work closely with business partners in many different substantive areas
