Position Summary:
Reporting to a senior member of the Legal team, the Senior Corporate Counsel should be a bright, energetic, business-minded and self-motivated transactional attorney with at least 5 years of transactional legal experience (commercial, general corporate, and/or M&A).  
 

Responsibilities include but are not limited to: 
 

  • Reviewing, drafting, and negotiating commercial contracts, including sales, channels and vendor contracts, RFP responses, and supporting documents
  • Providing ongoing commercial legal advice and support to the sales, product, marketing, account management, and business development teams
  • Working closely with management and business partners on a variety of agreements and issues impacting a rapidly growing healthcare IT company
  • Collaborating with, supporting, advising, and facilitating cross-team decision-making among internal teams.
  • Conducting legal trainings for business stakeholders on a variety of commercial legal issues
  • Supporting corporate transactional work, as needed (e.g., M&A and strategic investments)
  • Assisting with other general legal matters to be assigned as company needs warrant
  • Contributing to legal department leadership, mentoring junior staff, and promoting continuous process improvement

Education, Experience, & Skills Required:

  • J.D. from a well-recognized law school and excellent academic credentials
  • Admitted to the Massachusetts state bar or another U.S. state bar
  • 5-8 years commercial and/or corporate transactional experience required, prior in-house or large law firm experience a plus
  • Regulatory or technology (especially health industry) experience preferred
  • Superior verbal and written communication skills (including contract drafting), including the ability to communicate concisely to clients & employees, integrate legal and business knowledge, and provide balanced advice regarding risks
  • Strong organizational and time management skills, with the ability and willingness to spend the time necessary to meet demanding deadlines and adjust to shifting priorities
  • Ability to think creatively and strategically, with both business acumen and legal skills
  • Ability to manage multiple tasks simultaneously and to flourish in a fast-paced environment
  • A writing exercise will be a critical component to the interview process

Required of all employees of the Legal Department:

  • Excellent written and verbal communication
  • Meticulous attention to detail and process
  • Ability to maintain poise and a sense of humor in stressful situations

Expected Compensation

$173,000 - $293,000

The base salary range shown reflects the full range for this role from minimum to maximum. At athenahealth, base pay depends on multiple factors, including job-related experience, relevant knowledge and skills, how your qualifications compare to others in similar roles, and geographical market rates.  Base pay is only one part of our competitive Total Rewards package - depending on role eligibility, we offer both short and long-term incentives by way of an annual discretionary bonus plan, variable compensation plan, and equity plans.
