The Opportunity

We are seeking an experienced Senior Counsel to join our legal team as a primary legal advisor to FalconX’s credit businesses. In this high-impact role, you will provide strategic legal guidance on all aspects of digital asset lending, margin, borrowing, and other credit-related activities. You will work cross-functionally with Product, Markets, Risk, Operations, and Compliance teams to support new product development, ensure regulatory compliance, and manage legal risk in a rapidly evolving market.

Key Responsibilities
  • Credit Product Support:
    • Advise on the structuring, negotiation, and documentation of digital asset loans, margin facilities, borrowing structures, and other credit arrangements.
    • Draft, review, and negotiate master loan agreements, collateral agreements, security documents, and related transactional documentation.
    • Partner with Product and Business Development teams to design and launch new credit products and structures.
  • Regulatory & Compliance Advisory:
    • Analyze and advise on U.S. and international legal and regulatory frameworks applicable to digital asset lending, including securities, commodities, banking, and consumer protection laws.
    • Monitor regulatory developments impacting digital asset credit markets and communicate implications to internal stakeholders.
    • Collaborate with Compliance to develop and maintain policies, procedures, and controls for credit operations.
  • Risk Management:
    • Identify, assess, and mitigate legal risks associated with credit extension, collateral management, counterparty default, and insolvency scenarios.
    • Support the development and implementation of robust risk management frameworks for credit exposures.
  • Dispute Resolution & Enforcement:
    • Manage and resolve disputes, litigation, or enforcement actions arising from credit transactions or counterparties.
    • Oversee workout, restructuring, and recovery efforts in distressed situations.
  • Cross-Functional Collaboration:
    • Work closely with Markets, Operations, Risk, and Technology teams to ensure seamless execution and settlement of credit transactions.
    • Educate business partners on legal and regulatory issues affecting the credit business.
Qualifications
  • J.D. from an accredited law school; active membership in good standing with at least one U.S. state bar.
  • 7+ years of relevant legal experience, with significant time spent advising on credit, lending, or structured finance matters for financial institutions, fintechs, or digital asset firms.
  • Deep understanding of secured lending, margin, and collateral management practices.
  • Familiarity with UCC Article 9, bankruptcy/insolvency regimes, and digital asset custody considerations.
  • Experience drafting and negotiating complex credit and collateral documentation.
  • Strong knowledge of the regulatory landscape for digital assets and/or traditional credit products.
  • Excellent analytical, communication, and project management skills.
  • Prior experience in fintech, crypto, or digital asset environments strongly preferred.

The base pay for this role is expected to be between $196,000 - $265,000 in the New York City and San Francisco Bay Area. This expected base pay range is based on information at the time this post was generated. This role will also be eligible for other forms of compensation such as a performance linked bonus, equity, and a competitive benefits package. Actual compensation for a successful candidate will be determined based on a number of factors such as location, skillset, experience, qualifications and the level at which the candidate is hired.
