Senior Legal Counsel / Associate General Counsel - Real Assets

The position will support StepStone’s global Infrastructure & Real Assets business (“SIRA”), with team members located in Australia, North America, Europe and the United Kingdom. You will report, directly or indirectly, into the Partner and Head of Legal, Infrastructure & Real Assets in the London, UK office and be an integral member of SIRA and the StepStone Legal team. Together with the other members of the SIRA Legal team, you will support SIRA’s fund and private markets investments, primarily focusing on secondary transactions, fund investments and co-investments. This role may also include assisting in the structuring, negotiation, formation, and management of SIRA’s commingled funds, funds-of-one / separately managed accounts, and advisory relationships. This is a hands-on role which will include independently managing transactions and external counsel where appropriate.
Essential Job Functions:- Review, negotiate and draft documentation in respect of (i) secondary transactions (GP-led and LP-led), (ii) fund investments, and (iii) co-investments, including partnership agreements, term sheets, letters of intent, transfer agreements and side letters
- Assist senior attorneys in fund formation and structuring for private equity commingled funds and funds-of-one and negotiating investment advisory agreements and placement agreements
- Assist with the structuring, entity formation and on-going legal operational needs of SIRA accounts and funds
- Collaborate with and manage outside counsel in connection with select investment activity and client account formation, including reviewing invoices and providing feedback
- Supervise and work with paralegals, including in reviewing and processing MFN elections in respect of fund investments, negotiating confidentiality agreements, closing-related matters, subscription documents, transfer of fund interests, and other matters, as-needed
- Special projects (e.g. knowledge management, strategic transactions, new product research and evaluation, special mandate activity, process efficiencies, legal technology implementation, training, regulatory filings, etc)
- Must possess a law degree (LLB or JD), good academic track record and membership in good standing with an applicable law society
- Approximately 4-6 years private markets transactional experience, ideally with a focus on co-investment and secondary fund investments at a law firm and/or investment management firm.
- Professionally communicate with all levels of staff and stakeholders, internal and external
- Utilise effective time management skills to maintain a commitment to quality and attention to detail; ensure that all work is completed accurately and on time
- Foster a sense of teamwork, assisting others when needed/required; work collaboratively with including attorneys supporting other asset classes to share best practices, provide coverage, etc.
- Self-starter with strong organizational and project management skills
- Flourish in a challenging, fast-paced, and professional environment with frequent shifts in priorities as business needs dictate

Salary Range: $200,000 - $275,000
The salary range is an estimate of pay for this position. Actual pay may vary depending on job-related factors that can include location, education, skill, and experience. The salary range does not include any benefits or other forms of possible compensation that may be available to employees.
